shell companies can be useful, a quick and easy way to get a london listing.

usually if that happens a load of new shares are issued and old ones consolidated leaving very little value for existing holders.

The placing shares were sold off within daysif not before, the money raised was to pay the directors salaries for the next 12 months. This will delist just like most shell companies.

Richland recently sold off the last remaining assets and as such is just a shell company. They then raised £150,000 with "certain new investors" who presumably have a plan, with the stated aim to find a mining company who will reverse into this shell to get a London market listing.

The Board has now identified a suitable opportunity and is currently in late-stage discussions with respect to a potential reverse takeover transaction in the mining sector, in line with its stated strategy, and anticipates being able to enter into such a transaction in the short term (the "Potential RTO Transaction"). The Potential RTO Transaction involves the acquisition of majority interests in, and operatorship of, four gold exploration projects in North and South Carolina in the United States located within the wider Carolina Super Terrane (formerly the 'Carolina Slate Belt'), which i) also hosts the producing Haile Gold Mine owned by OceanaGold Corporation (TSX/ASX: OGC) who acquired the Haile Gold Mine be acquiring Romarco Minerals Inc. in 2015 for C$856M

Following Admission, the Company will have 1,024,839,558 Common Shares with voting rights in issue and holds a further 7,275,000 Common Shares in treasury.

This Company is currently an AIM Rule 15 cash shell and, as such, is required to complete a reverse takeover under AIM Rule 14 or otherwise seek re-admission to trading on AIM as an investing company pursuant to AIM Rule 8 by 30 June 2020. Accordingly, the Company is seeking to identify a suitable reverse takeover transaction in the mining sector and the net proceeds from the Equity Fundraising will be utilised to provide the Company with additional general working capital and to satisfy the costs and expenses associated with pursuing such a transaction. However, there can be no guarantee that the Company will be able to secure a suitable reverse takeover transaction and subsequently be re-admitted to AIM.
