sharw, it may take a good 2 years to see the quality, or otherwise
of this acquisition imv.

My main objection was the balance sheet post acquisition.

Often when buying from private equity, it's PE who get the better deal.
They tend to be masters of timing the cycle.
May be this will be different?.
Directors do not look to have a lot of skin in the game here to me,
appreciate others may see it very differently.

I had not heard of Jollibee before but a little google shows me that this company from the Philippines bought the site from Wagamama who must have failed to make a go of it. So much for RTN's overpriced purchase.

That was the headline but most of the praise for RTN was for stuff already in place e.g.: and going for concessions in airports was a strategy put in years ago by previous management. The 40% who voted against must also have included some large institutional holders. Had a special resolution been required it would have failed.

Just before the announcement of the deal with the shares at 300p the EV of RTN was around £625m. RTN is coughing up an EV of £559m for Wagamama. RTN's EBITDA is quoted in the circular as £95.1 and Wagamama's £46m, That is enough to keep me out.

to answer my own question:

rebased its dividend policy, implying a cut from 17.5p to around 10p for the current year, and said like-for-like sales growth had slowed in recent weeks.

so yielding just over 7%
