03/10/2017 11:15 | Can someone who knows something about acquisitions help me understand the advantages better in this particular case.AP have filed saying they wish to make a Cash and Shares offer for REDS. If this goes through and it's a massive 'if', then shareholders will get some money and shares of AP. My question is what's the benefit in having shares in AP given it's a private company? If it were a public company then one could see the combined offer value as the share price of acquisitor would be known. But the value of private shares??? 01/10/2017 09:58 | They are according to the RNS 0709S that was released by AP Systems at 4.53pm on the 28th. The following morning REDS said they had not received an approach or an offer. Once the initial RNS was out they are in an offer situation hence the requirement for holders of 1% to make 8.3 form disclosures if they make any change to their holdings as Slater must have done on Friday. It looks likely we will have a further RNS from REDS, and possibly AP Systems, in the morning to clarify the position, as the Takeover Panel will require it to avoid any uncertainty. | mylands | |

Any person or institution that has an interest of more than 1% of the share capital of a company in a bid situation (on both sides of the transaction) must disclose any dealings in those shares and their resultant position. | mylands | |
