Newco is formed which bids for REDS and existing REDS shareholders get paid by way of cash and quoted Newco shares.

but how does that sort the (private) shares component of any 'cash n shares' takeover for REDS shareholders ? ok.....we end up with some shares in the newly listed (!) A P Systems , errrrrr

Seems to me that APS are looking to do a reverse takeover, thereby getting a quote for their business. The only way they would be able to do that IMO would be if they had a serious financial backer behind them to underwrite the bid.

I guess the shareholders (private) at A P Systems (?) will hazard a guess at what they BELIEVE their company is worth and go from there basis a 'cash and stock' in offering a value for REDS - but i think it is utterly ridiculous to even go down that road as no current shareholder at REDS would take ANY stock in a non-listed (no sellable) private co. The whole situ is bizarre.
BUT i am not an M & A expert - can anyone else add any substance here ?

VV. My question is not related to whether it's a bogus offer or not. That's a separate matter. My question is a general one. How does an acquisitee shareholder value an offer of an amount of acquisitor shares when they are in a private company? Does anyone in the M&A business know the answer?

Can someone who knows something about acquisitions help me understand the advantages better in this particular case.AP have filed saying they wish to make a Cash and Shares offer for REDS. If this goes through and it's a massive 'if', then shareholders will get some money and shares of AP. My question is what's the benefit in having shares in AP given it's a private company? If it were a public company then one could see the combined offer value as the share price of acquisitor would be known. But the value of private shares??? So how can one value a private acquisition?

i am assuming (despite the forced Form 8.3's) that there has been no approach as REDS have stated. It's bogus obviously.
REDS clearly feel they have nothing more to say on the matter.

Perhaps they had a chat, pooled their money, and whacked off a missive to takeover panel.
Or Anderson and others going to take it private - 'offering' cash and shares in AP Systems.
Only joking.....................maybe. Bemused probably describes it.

They are following takeover panel rules, initiated by ap and takeover panel RNS.
Bizarre approach/no approach contradiction remains, though no doubt the company believes it has been clear to investors.

No RNS from the company this morning to give any further indication of the position regarding the 'approach' from AP Systems. Three more 8.3 form announcements which confirms in my view the company is in a bid situation.

They are according to the RNS 0709S that was released by AP Systems at 4.53pm on the 28th.

The following morning REDS said they had not received an approach or an offer.

Once the initial RNS was out they are in an offer situation hence the requirement for holders of 1% to make 8.3 form disclosures if they make any change to their holdings as Slater must have done on Friday.

It looks likely we will have a further RNS from REDS, and possibly AP Systems, in the morning to clarify the position, as the Takeover Panel will require it to avoid any uncertainty.

It's a rule 8.3 RNS required by the Takeover Panel:

Forms 8.3 and 8.5 are disclosure forms required by the Takeover Panel to clarify material interests in the share register of a UK-listed company that is in a bid situation. Any person or institution that has an interest of more than 1% of the share capital of a company in a bid situation (on both sides of the transaction) must disclose any dealings in those shares and their resultant position.

That's a better end of day RNS. Slater Investments adding REDS to their portfolio. Well respected fund manager who is thinking that REDS has a good future.
