As I am typing this and going back over trading these past couple of weeks the situation is changing, I was just about to say that they still have another 500k trade before Christmas and potentially another 4 x 250k sells recently. The second RNS catches the 500k sale just before Christmas.

So GG ECo are selling out (not surprising it is their liquidators doing their job).
I reckon they have sold another million on top of those.

What I can't understand is if they are selling then why have the MMs shut up shop on the offer side, i could only get a quote on 20 shares earlier and the recent buy had to pay a quarter above the offer....doesn't stack up as you would think the MMs would be courting buyers and filling what seems to be a 2.7m sell order....???

Hi Clive and Happy New Year,

I have posted previously about the large holders and who my likeliest sellers were, the first lot of selling looked squarely like Edmonton Property and I think that is the case, I also think they are now all sold. To clear that overhang there were a lot of new buyers come in, many of them traders.

We got a holdings RNS but that was for another holder and from some time back, but they too were a favourite of mine as a potential seller and this was backed up even further after some research showed they were in administration and a new liquidator had taken over. So I do think they will be selling down that holding to recover/liquidate their assets.

So I could see the 2 x 250k being them, however it could just be a couple of traders closing out and being stung by the MMs. This morning I am having difficulty getting an online buy quote for any amount (even 50 shares!), yet can sell at just above mid price.

So the jury is out on who is/was selling. I believe Edmonton Property to be out now and await an RNS.

We also await an RNS on Newry HoA completion of DD, this will be very important! The results hinted at the wind turbine portfolio and these will be important if the right deal comes through for purchasing the blades, financing, etc.

They also spoke of the new owner for the Enfield site, a couple of things unnerved me about that, first the new ownwers HAVE bought the site (the holding Company that owns the site) and the first thing they did was sell off their REAC share holding. Second if the site was for sale then why didn't REAC and Ebioss buy it, they have so much to gain from a plant being built there, surely the ownership of the site was massively important (I can only think relations between REAC and our previous landlords were so bad REAC never got offered the site). So having seen the new owners sell off the shares I had written off Enfield, but seeing the comment in the results statement allows a glimmer of hope that something may be forthcoming. I can see a change in planning applied for to allow the Enfield site to take refuse waste as per Ebioss's new plants in the UK funded by China Energy.

A waiting game as ever, but at sub 2.5p a very good entry to wait from, if they will sell any?

I would also like to see Ebioss swoop in and mop up any overhang, they may as well start at these levels and work towards getting that AIM listing they desire, along with the Company's assets which are worth far more than 2.5p a share!!!!

Morning all,
Well at least they got these out before Christmas (normally the last possible day before publishing).
At first glance it looks good and that things are being thought about. I wasn't sure about certain things going into results, the selling down by Edmonton Property Group sparked some concern. A look at Companies House shows that Foresight have now sold Edmonton Property Group to a waste company (the directors of which have links with many different waste companies). At first I was suspicious that the land was just going to be re-used as a recycling yard (there are a lot around that industrial area), but the comments in the results look as if the Company still feel there is something viable in discussing with the new landlords a development of the planned Biomass plant.
This would be a massive boost if the Company and Ebioss (key here!) could get an agreement to build the project out as this has previously been written off.

The MMs marked this down this morning obviously aware of the recent trading and inviting some to jump ship and crystalise losses, I see no-one has taken that and the opposite has happened.

I see some have jumped upon the news, the heads of agreement is 'due shortly' however further in the report it says due before the end of the calender year, so expected next week!

We don't know they are selling the lot, but the RNS was from last month and the current buying would have cleared Edmonton Property out by now.

What do you suggest a liquidator does with shares owned by a company under liquidation?

This could be a great opportunity to build a stake in REAC before news from Newry.

RNS only showing they sold 100k shares. Surely would be more than 100k if they were selling the lot.

Hi Timbo,

Looks that way and they must be nearly out now, they would have been apart from there seemed to be more shares available and tonight's RNS might give us a clue.

Edmonton Property were creditors given an equity for debt swap and had a 12 month lock in period.

GG Eco solutions are also shareholders and they got their stock after the acquisition of their small biomass heating business. From the RNS and a quick look at Companies House they went into liquidation a year ago and liquidators were appointed. In Novemebr they sold 100k and their holding went below 7%, the RNS states they told REAC at the time, however, it is only now we see an RNS (not good if true). But it would seem very likely that if they were trying to liquidate assets all of their holding will be for sale and that would mean another 5m shares.....

They may have a higher target price to sell at, or it could be a case of liquidators just selling enough to cover their bills and stringing it out, but the rest of this week could make it clearer.

I wanted the re-powering news, but now with these overhangs I would prefer to see them cleared first and then PIS get the benefit of any rise in share price ....

Starting buying big chunks upto 3p over last couple days.

I like the story between ebioss and REAC, sort of story that see these tiny off the radar caps go sky high.

I have been out, so missed the last few hours, I assume the 2.75p trades were buys, that is just over 2m buys today, an unprecedented volume of buys.
I am still trying to work out what is going on here, having had two stocks do highly dilutive placings recently these sort of movements make me nervous. However the share price is well below the nominal value of the shares, so any placing would have to be at €0.1 or they would need to do a share split.
The recent extra Ebioss loan suggests that was what the Company needed to keep working capital going, so although you can never rule out something on AIM, I would have thought any equity raise would be against equity in Newry Biomass and not REAC the Company.
If that is the case then we are back to a large seller and by the looks of this afternoon they need to get shot of their shares ASAP.

Looking at the previous list, my main culprits would be concert party (their shares were freebies), Edmonton Property (Might need to write these off their books), GG Eco taking what's left of their money out or Ronan Barrett (although I am still not sure on this one).

We shall see tomorrow a bit more of the story, what they are offering and how they might move next. If it is Edmonton Property then another day like today would see them cleared.

Could do with the re-financing news soon.

From an overhang, tradionally a stock will afterwards spring up. The additional loan amount will ensure continued business as usual for some time yet, I would expect. Hopefully by then we may get something big materialising, as the market has almost written this off.

Looked at this again and we have had 1,230,000 buys today and 60,000 sells that I can see. Barclays are still offering me 1.2m at 3.02p at the moment so there is an overhang in and they want to get rid of it (hence the drop on offer into heavy buying this morning).

I know there is at least 1.2m on offer ( to be honest I am not doing any more dummy trades for more than that, as I have come unstuck with a fat finger and the buy button before...).

So it looks like one of our 3%+ holders is selling down.

1. Farmer Businees Developments are our largest shareholder and hold 17.4m (23.15%)

It is not likely to be them, they are in for the long haul and own just over 50% of Newry Biomass Ltd.

2. Concert party - 7.2m (9.5%)

These are the funders out of examinership and for their funding they got an equity kicker of 7m shares. Now it could be them, they weren't included in the financing of Newry and were down as potential funders for that in the examinership documents.

3. GG ECo - 5.25m (7%)

These shares were in payment for GG Eco and it could be that the owners want to cash them in, however this would be a a massive discount to the price they got for GG Eco and would represent a huge loss for them if it is.

4. Carnmeen Energy 5m (6.88%)

This is Company is the landlord for Newry Biomass, so not likely to be them, they are also going through planning to build and industrial park on neighbouring land and will be providing energy through an onsite facility (Newry Biomass) and I think the important bit about EQTec (and the last Ebioss RNS) is the cogeneration of heat as well as energy, which would be perfect if there is an industrial park alongside for an offtake!

5. Ronan Barrett - 4m (5.4%)

The Barrett family were Directors, creditors, etc and as such hold a lot of shares in REAC, cannot second guess what they would do, but selling now would put them well out of pocket.

6. Edmonton Property - 3.8m (5%)

These are the landlords of the Enfield Biomass site, you know the ones REAC helped purchase the site and then got charged ridiculous rents while the same landlords tried very slowly to arrange finance. This is what put the Company into examinership last year and I wouldn't trust them. REAC had to withdraw from Enfield and issue these shares in return for rental arrears being wiped off. However REAC were meant to be in discussions about taking a equity stake in Enfield again in return for the IP it holds (all planning and offtake agreements are in the name of Enfield Biomass Ltd, owned by REAC).

So there you go our largest shareholders, of course there were many more creditors that had to accept equity for debt at 11p, selling out now at below 3p (I assume it will be by the current buy price) will be painful.

With 75m shares in issue 3% is 2.25m, with a net 1.3m buys going through in the last two days and at least another 1.2m on the offer, if this is only one seller than they must be from the above list.

I just posted this on LSE,

Currently being offered over 1m shares at 3.03p.

Does this concern me? Not sure!

The results are due by the end of the month and we can see from the Ebioss loan that they have done well to keep costs down.
We should soon hear about the Newry DD completion and hopefully a refinance package that sees the investors loan to REAC so they can put into the SPV and also to take some of the equity in the project in return for investment. So direct investment by way of loans to REAC and indirect by way of equity in Newry Biomass Ltd (as per October RNS).
So the large amount of stock available??? There were many creditors who accepted stock in a debt for equity deal under the examinership. They had a 12 month lock in period which ended in July, perhaps some of them as funds are now taking some out before year end?

Future poor or good? I see it as good Ebioss obviously have confidence enough to extend more unsecured loan and Newry and Clay Cross as sites with planning are worth far more than the current valuation on the AIM market....

Hi Clive,
I think that news issued late in the day was missed by many yesterday (myself included), it is great news and gives us an indication that things are still positive.
There can be no argument that Newry re-financing has taken a lot longer than they expected and part of this is down to Ebioss (ref. their latest accounts). The amounts drawn down are also positive they have cut back on costs, while at the same time pushing the project pipeline forward. There were a lot of conditions on the Clay Cross planning approval and these will have cost as they go through each one.

With accounts due in the next 11 days I can't help thinking this extra loan allows the auditors to sign them off as a going concern for the next 12 months. This is positive as Ebioss must believe that there will be a return on this loan ( I still see Ebioss take over REAC for it's listing on the AIM market and biomass projects) and wouldn't think they would extend more unsecured loan unless they thought the re-financing was going ahead.

Finally it is now 62 days from the Refinancing RNS, so we should hear shortly.

REAC have only issued 9 RNSs in 2016, most about loan drawdowns/amemdments the results are due by year end, the DD on Newry should be just about finishing and REAC have just secured funds for working capital, so I expect us to have some more before 2017 starts.....

Ebioss increase the loan by 600000 euros and extend the term to Jan 2018!!!

Expect news re Newry at any moment now.

They work so close I cannot see Ebioss not developing one or all of their other sites.

Fully funded and no dilution.

Mcap vs potential way out imho.
