They have been left holding about 11,000,000 shares
athorised at 14p/share that they cannot shift. The
ones they did place were probably placed as fees
for the reverse takeover. Smoke and mirrors...

umsure here.

they've moved the goalposts and changed direction fairly drastically but they appear to have got 14p apiece for these "new" shares and to my mind if someone was/is willing to pay above market price to get in on the act maybe it's a better deal than we realise.

time will tell but todays fall is probably all down to the comments made in the i/c. don't think it can hurt tightening the s/l and holding until there is some news of how they are going.

must admit to be totally puzzled as to why they want to go cleaning when they were plodding along well and things seemed to be on the up with thier investments showing through well.

i keep looking but can't seem to understand thier reasoning, maybe we can't see the wood for the trees and are missing the point. could do with some decent explanation from the management on how they see things going forwards and what advantage we have gained.

Hmm - it seems a new substance has been created which is the first substance to be harder than diamonds.

It is a long way perhaps to production. But its got me interested in it, and now more unsure when/if to come in here.

I have posted this on HDD too as I want to gather information on how to invest on this new material (perhaps some bet hedging - the chances of a another super-hard material being found must be less high now?).

Meanwhile, back in the real world, RNS shows that Cornhill dumped its holding in FLT earlier in the month - probably the institutional seller remarked on by several posters to the previous thread.

Proventec PLC
30 August 2005

Press Release 30 August 2005

Proventec Plc

('Proventec' or 'the Company')

Board Changes

Proventec Plc (AIM:PROV.L), a provider of specialist cleaning and coatings
technologies, today announces that following last week's acquisitions that two
of its non-executive directors, Dr Pavel Shashkov and Dr Yuri Zhuk are stepping
down from the board of Proventec with immediate effect to join Flintstone
Management Services Limited ('FMS'), a wholly owned subsidiary of Proventec.

Dr Shashkov is the Technical Director at Keronite Limited, a company which has
invented and markets a process for creating hardened surfaces on aluminium,
magnesium and titanium and of which Proventec owns 12.57 per cent. Dr Shashkov
is stepping down from Proventec to concentrate on the development of Keronite.

Dr Zhuk is similarly stepping down to dedicate his efforts to Proventec's
flagship investee company, Hardide plc, where he is Technical Director. Hardide
floated on AIM on 4 April 2005 having successfully raised £1.41 million net of
expenses on its initial public offering.

David Chestnutt, Chief Executive of Proventec, commented: 'Pavel and Yuri have
each contributed a great deal of technical scientific and Russian expertise to
Proventec, which has been invaluable and they will continue to do so in their
new roles at FMS.'

I am not sure that this is a total disaster either.
Its hardly what we signed up for but we simply dont know enough yet to say this acquisition is rubbish..... they could just as easily be oversold.
Also there are possible synergies here that are not completely in the open yet....

Mind you click on this link !

Perhaps Mr Stick is stuffed for want of a buyer in his size?

If the deal is a good one it was for Flintstone to communicate this. On the information they did present the acquired businesses looked rather bad value at £30m.

Having missed the chance to sell at a higher price, with PROV shares valued at 10.5p the aquistition cost is down to £25m. Not quite as bad.

And there is the observation that the directors' communication skills have been appalling but their actual picking of technologies which can be successfully commercialised appears ok.

So it's just possible that the aquisition does actually make good sense, and at 10.5p bid I'm not minded to walk now.

Bascially theyve given 65% of OUR COMPANY to a load of Dutch Cleaners!!

Having lived here for the last 9 years I can tell you all "Dutch" cleaners are East Europeans, Morrocans and Turks!!! No further comment!!
