PROACTIS Holdings PLC ("PROACTIS", the "Group" or the "Company"), the global Spend Control and eProcurement solution provider, announces that a total of 300,000 ordinary shares of 10 pence each in the Company ("Ordinary Shares") have been allotted pursuant to an exercise of options by Sean McDonough (Chief Operating Officer) ("Options"). In addition, the Company was notified on 4 June 2018 that Tim Sykes (Chief Financial Officer) purchased 10,000 Ordinary Shares.

Issue of Equity and Total Voting Rights

Pursuant to the exercise of options, application has been made for the 300,000 new Ordinary Shares to be admitted to trading on AIM ("Admission") and dealings are expected to commence on 8 June 2018. The new Ordinary Shares will rank pari passu with the Company's existing Ordinary Shares.

The total number of Ordinary Shares in issue following Admission will be 93,236,123. Accordingly, the figure of 93,236,123 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in the Company under the FCA's Disclosure and Transparency Rules.
