Issue of Equity and Total Voting Rights

PTSG, the niche specialist services provider, announces that on 11 July 2018 the Company will issue 687,452 ordinary shares of 1 penny each in the Company ("Ordinary Shares") to the vendors of Brooke Edgley (Industrial Chimneys) Ltd ("BEST"), the lightning protection business acquired in July 2017, in part-settlement of the first of three GBP2m annual deferred consideration payments for the acquisition (the balance being paid in cash). The Company retains the right to pay up to two-thirds of the remaining deferred consideration in cash or shares, at its discretion.

In relation to the above, an application has been made to the London Stock Exchange for 687,452 new ordinary shares, which rank pari passu with the existing ordinary shares, to be admitted to trading on AIM on or around 13 July 2018.

Following this issue and allotment, the Company's issued share capital comprises of 110,435,195 Ordinary Shares. The Company does not hold any Ordinary Shares in treasury. The figure of 110,435,195 should be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change of their interest in, the Company under the FCA's Disclosure and Transparency Rules.
