Subscription for shares in Arena Hospitality Group d.d. ("Arena")

PPHE Hotel Group Limited, which together with its subsidiaries (the "PPHE Hotel Group") owns, leases, develops, operates and franchises full service upscale, upper upscale and lifestyle hotels in major gateway cities, regional centres and select resort destinations, predominantly in Europe, announces that it has decided to subscribe (through its wholly owned subsidiary, Dvadeset Osam d.o.o.) for EUR9 million of new shares in its 77.09% owned subsidiary, Arena Hospitality Group d.d ("Arena") as part of the public offering of shares announced by Arena on 12 May 2017.

On 12 May 2017 Arena announced a public offer of between 1,000,000 and 2,000,000 new ordinary shares ("Shares") at a price per Share ranging between 400.00 HRK and 500.00 HRK ("Price Range") (the "Offering"). The PPHE Hotel Group has today decided to subscribe (through its wholly owned subsidiary and majority shareholder of Arena, Dvadeset Osam d.o.o.) for such number of Shares, at a price per Share within the Price Range, as shall have an aggregate value of EUR9 million. The proposed subscription will be financed by the PPHE Hotel Group through existing cash resources. The number of Shares to be subscribed for by the PPHE Hotel Group shall be determined and announced once the subscription price of the Shares and the successful completion of the Offering have been announced by Arena (which is expected to take place on or around 26 May 2017).
