Do you think they will use the planning committee date as a trigger for the next big dilutive share issue under AGM resolutions 6 and 7 to allot 66% more dilutive shares? A disaster for anyone stuck holding who will be diluted down the toilet. Lemmings and mushrooms only.

KC and Jak you both make good points. I think they will first do the 66% share dilution in accordance with the AGM resolutions, meaning every 100 shares becomes roughly the equivalent of a mere 34 shares afterwards. So a 5% shareholding becomes a 1.7% shareholding. Then they might do a 0.1p:0.4p split like you suggest, meaning every 34 shares becomes the equivalent of 6.8 shares or call it 7 shares to be generous (with the balance of the deferered shares being untradable and probably cancelled shortly afterwards). So a 1.7% shareholding then becomes a 0.35% shareholding. Funny how a 5% shareholding if you choose badly on the 'AIM Casino' could so quickly drop to 0.35% without the owner selling any but that is a peril of AIM for you. I wonder how keen someone like Paul Warwick would be to promote such a company after all that? Not very much I would think.

Getting round this rule is very simple, they just need to reduce the nominal share capital per share. Eg a simple proposition would be: 1. Split each share into (a) an ordinary share with 0.1p share capital and (b) a deferred share of 0.4p of share capital 2. Give the deferred shares rights to no dividend no votes and minimal unlikely rights to capital - ie make them worthless. 3. If desired consolidate the ordinary shares at the same time. The shares have to be issued at a nominal face value of 0.5p but because they are trading below that at 0.35p it means they have to issue 30% more than otherwise to raise the same amount of cash. Very off-putting to see those recent AGM resolutions to issue 66% more dilutive shares. That the maximum amount allowed under listing rules, so it suggests the company expect the price to stay low for the forseeable future. Not surprising as they do not even have planning permission yet for a first unit, so probably will not get one fully running and certified until 2021. Lemmings and mushrooms only.
