A poster made a comment saying Polo was a Bermuda company and some comments were made about directors duties. I should not have assumed them to be right because as Big Frankie says Polo is a British Virgin Islands Company. BVI law is essentially based on English Law and hence the comments about Directors duties would be broadly the same as under Bermudian Law.

I didn’t say British laws apply in Bermuda. Bermuda’s laws are based on English law and the principles of English Common Law are part of their legal system. This is usual in former British colonies and Territories. You can’t even read and understand what you google. Must try harder if you want to avoid further embarrassment.

Bermuda law is essentially based on English law. A number of the duties would arise under common law principles to act in the best interests of the company rather than being set out as a specific requirement to maintain a listing. A director owes this duty to the company which includes the general body of shareholders. I think it would be difficult to argue in the case of Polo that it was in the best interest of the shareholders to lose the listing.

If you think Tang as a director of a listed company doesn’t have a duty to try to replace the Nomad you are entitled to your opinion. In my opinion you are wrong. If he were minded to do as you suggest do you think he wants to take a risk by association at GCM at such a crucial time for that company. I am not sure it is helpful to anyone to keep airing unsubstantiated conspiracy theories.

Shredded with minor shareholders. But not with the larger holders who have their eyes on the endgame, or those who took part in the placing to buy the dyani gcm shares.They will be happy to delist, then polo can force gcm into admin by calling in the loan notes. Between dyani and polo they have enough voting power at gcm to cause that to happen, and thrn to take the gcm assets (phulbari) as payment in lieu of the loan notes.Would tang be happy with that?

Tang has no duty to find a new Nomad. Delisting would be convenient less regulation. Minority shareholders would be left in the dark. Tang can buy GCM if he wants, he does not need Polo anymore. Tang's reputation has been shredded at Polo; nothing to lose.

Russman posted that delisting was a possibility and I was responding to him. I was responding to that which will only happen if Polo fails to appoint a new nomad in the relevant time frames. Polo had to appoint a new nomad in 2017 and did so. It is familiar with the process. There was a suggestion by implication that Tang for his own ends would let the delisting happen. My comment was that as a Director he has a duty to take all reasonable steps to appoint the new nomad. There is no suggestion by me that he wouldn’t seek to appoint a new nomad. I expect a new nomad to be appointed and I don’t expect Polo to be delisted.
