The highlights of GUNS rns :-

Oyster has issued Gunsynd a convertible loan debenture for a principal amount of CAD408,050 (approximately GBP250,000) (the "Loan");

1: The Loan will accrue interest at 10% per annum;

2: The Loan is convertible at the Company's option at the lesser of CAD0.50 per Oyster common share (an "Oyster Share") or a 20% discount to the first offering price of Oyster's Shares on AIM, subject to compliance with the TSX-V minimum discount policies, or is repayable either one year from issue or five days following the admission of Oyster's Shares to trading on AIM; and

3:Gunsynd will receive 216,875 transferable warrants, whereby each warrant entitles the holder to subscribe for a new common share for a period of one year from issue at a price of CAD0.55 per Oyster Share.

4: Oyster shall pay a corporate finance fee of GBP110,000 to Gunsynd on admission to AIM of Oyster's shares, and such fee shall be due and payable by Oyster to Gunsynd in common shares of Oyster at the placing price of Oyster's first placing of ordinary shares on AIM.

5:Oyster shall grant to Gunsynd a warrant over three percent (3%) of the enlarged share capital of Oyster following admission of its ordinary shares to AIM which will be able to be exercised for a period of 12 months from the date of the Admission at the IPO Price.

We have over £1m in cash and must be looking attractive to a private company or a company that's wants a AIM listing (who needs money to invest somewhere).

LGC has partnered with AfrAg to grow medical cannabis and they need to come up with $4.9m which they have committed to.

Both are Leni's companies .

Will they list on AIM ???

The key benefits of reversing into an AIM cash shell are:

There is a transparent amount of cash already in the shell ready to invest in the right company.

By comparison with the conventional AIM flotation, the fact that cash is already in the shell means that, in some respects, a reverse into an AIM cash shell may be regarded as a lower risk. Certainly the transaction does not rely on attracting new investors to support a fundraising at the time of admission to AIM.

A reverse transaction into an existing AIM cash shell may be quicker and therefore a less costly method of achieving an admission to AIM, and at the same time, accessing cash to grow a business.

People just don't seem to get it ?.

It's not about what has happened in the past ....it's all about where we are heading and the future.

Leni has transformed a lot of companies and is a savvy business man . If you get on the right side of a trade when he does , then you won't go far wrong .
