30/3/2017 14:07 | Mips - I can only assume you are reading my post from a very different stand point as that is not what I said nor inferred - so let me elaborate on the thinking behind what I did say and see if that clarifies it for you - cos it certainly hasn't got anything to do with a controversial remuneration report and the co therefore needing to create news of an acquisition. 1. JL states desire to "conclude" M&A deal by end 2017 2. mentally JL will be saying no later than Nov - just to be safe( my view) 3. "conclude" means reg approval work( third step in JLK's M&A outline) - would allow roughly 6 months based off Skrill experience and now we are a bigger company and therefore more systemically important in the regulators eye I would surmise. 4. so aim to complete negotiations and announce deal by June 1 latest to complete by end Nov. 5. AGM - date TBC - but say end may/start June based on prior year 6. questionable whether JL can successfully "conclude" M&A in 2017 unless he can announce "deal" by the time of AGM - simply based off calendar. 7. Inst Investors might interpret that as JL not hitting the goals he set for himself if no deal announced 8. JL himself set the target for a "concluded M&A" by end of yr.- so he has created the expectation. that is as simple as I can state why AGM seems like a very reasonable date and is still probably two months away maybe a bit more (although I did suggest a few other pointers i.e. why sign an irrevokable undertaking for something expiring anyway in April having run its 3 yr course ?) I do not speak for EH9 - I am sure he can give you his logic, mine is my own Now when it gets to approving the LTIP at AGM any inst investor is likely to look at PAYS share price performance in the last yr and note it is just about tracking the FTSE 250 and has underperformed FTSE100 at 460p - so tell me again why you want me to approve a share award under the LTIP ? nothing controversial in that !! Alternatively you can go to that meeting and have announced a "bold M&A" deal and share price rockets and then it is a very different complexion on the LTIP conversation - nothing controversial in that ! Personally I think JL and the team deserve the share awards they have been given they have done a 1st rate job up to now and I am sure they will continue. | wolfhound1 | |
