Royal Liver announces that, as at 12:00 p.m. on 23 April 2003, Newco had
received valid acceptances of the Offer in respect of, in aggregate, 23,366,289
Park Row Shares, representing approximately 78.3 per cent. of Park Row's issued
share capital. Included in these acceptances are valid acceptances for the
Earn-Out Alternative in respect of 11,525,145 Park Row Shares, representing
approximately 38.6 per cent. of Park Row's issued share capital.



Royal Liver announces that the Offer has been declared unconditional as to
acceptances. All the remaining conditions of Newco's Offer for Park Row have
now been satisfied or waived and accordingly Royal Liver announces that the
Offer is declared unconditional in all respects. The Offer will remain open for
acceptance until further notice.

I was told both stories by Barclays, but
the bottom line is they cann't do anything
without your signature. When ILM tried to
buy back to close the company and leave it
as a shell, lucky me was losing so as a protest
I refused to sign. ILM have still shares in
Shore Cap. and Shore Cap have been mopping
up any shares that are being sold. The funny twist
in that story is that I have received a very small
divi, from where, I don't know.

i thought that if you didn`t accept the offer but the deal went through, your shares would be sold anyway.

My shares are held by Barclays and they wrote
to say that if I refused to sell, I would get
shares in the Co thats taking over PWP. And as
they are not listed at the LSE it would be very
difficult to trade them if not impossible.

I'm just not sure if declining to participate counts as a solid rejection or if it gets treated in a more 'neutral' way in favor of the pro voters - mine is going in saying NO.

According to my letter from Hargreaves Lansdown, "If you do not wish to participate in this takeover you are not required to take any action at this time".
