Looks like they have paid an illegal dividend. Not a disaster, but a tad embarrassing. Unfortunately, an all too common procedural error and a number of PLCs have fallen foul of this. 26/11/2018 11:04 | Can anybody help me here. Note 15 of the results is making me worried. It is the very last note. I think Palace unlawfully overpaid dividends. "Palace Capital plc paid out dividends of 4.75p per share in July 2018 and a further dividend in October 2018 of 4.75p per share on the basis of its last annual accounts for the year ended 31 March 2018. Although the parent company had distributable reserves in excess of those needed to pay such dividends, even after adjusting for the unlawful dividend received, in view of the above, the 31 March 2018 accounts produced by the parent company did not constitute relevant accounts as prescribed by Companies Act 2006 to justify these dividends." | markyjacob123 | |

With only 10 left - its only c.£3m tied up and they should be easier to shift or could even be sold piecemeal. With these sold close to book value, the NAV announced on Monday will be pretty accurate. If they don't comment about the stake in Circle I will ask them next week. | jombaston | |

23/11/2018 07:18 | 23 November 2018 Palace Capital PLC ("Palace Capital" or the "Company") Contracts exchanged for the sale of 50 residential properties for GBP18.2m Palace Capital (LSE: PCA), the property investment company that focuses on commercial property outside London, is pleased to announce that it has exchanged contracts to sell 50 residential units for a total consideration of GBP18.2 million, reflecting 97% of their book value, to the London Borough of Barnet. The units are part of the 65 residential units acquired as part of the RT Warren (Investments) Ltd portfolio in October 2017, of which three were sold in February 2018 for GBP1.25 million. The 50 residential units, which are all debt free and uncharged, currently produce a gross income of GBP0.62 million per annum. Completion for each respective unit sold will take place when they become vacant with all the properties expected to be sold on or before 31 March 2019. The funds from the sales will be added to the Company's cash reserves to be ultimately deployed towards new acquisitions that meet the Company's selective acquisition criteria. Neil Sinclair, Chief Executive of Palace Capital, commented: "We have found an excellent buyer and achieved a very satisfactory price within 3% of our book value. We intend to market the remaining 10 units separately in early 2019.
