yaya's RNS are published at 7am and then throughout the day.

They are one of the most important sources to get price sensitive information before the market opens at 8 am. You just have to do a lot of reading (and get up early...).

I use investegate.co.uk.

I hold EKF, which not long ago spun out Renalytix (RENX). Since then EKF has gone on to new highs driven by its core businesses including COVID test transport solutions, whilst RENX has been a huge success. Next EKF spun out Verici (VRCI), which is similarly now quoted and has tripled since IPO. EKF have already distributed in-specie dividends in Trellus, a third spin-off which is likely to IPO. And there are more to come.

This strategy can lead to big winnings for the topco shareholders.

Given the potential in the various companies in ORPH's portfolio, and the successful turnaround in and rosy prospects for ORPH's core businesses, there's no reason why ORPH shouldn't have similar success.

Worth re-emphasizing : ORPH shareholders will know fairly early on the quantum of their shareholding in NewCo but won't be able to do anything with them for a certain period of time.

Tradeability of ORPH shares themselves won't be affected directly.

Think of your NewCo shares as a 'free lucky dip' but for a draw in a few months' time...and the odds (hopefully) shortening meanwhile into 'racing certainty' as the NewCo story unfolds.

Great to see the process underway. Hopefully SEEK/ConserV will make progress as well to give us something tangible on the second of the three spin-outs before long.

There's very little information in the release and the circular on the asset(s) itself though. So the next key document is likely to be the prospectus for the fundraising which will need to have enough detail to allow investors to assess the value. That all seems at a relatively early stage though from the following statement, but hopefully things will now move fairly quickly:

"The Directors are therefore exploring funding options for that business, including equity funding, and the Directors intend on conducting initial market soundings in order to assist them in determining the feasibility of Newco being admitted to trading on AIM should the Demerger take place."

There's also nothing that I could see in the circular about subsequent dual listing on the Nasdaq. It is possible that we won't see "full value" until this subsequent listing. Flotation on AIM (should it happen) will set an initial value for shares in Newco, but we will in any case be locked in for a time (expected to be up to 9 months, so might be less). It may be that to achieve something approaching full value shareholders need to plan to hold until the Nasdaq listing has happened, or at least is imminent enough for value expectations to have crystallised.

CF has acknowledged concerns re share price volatility, at the same time we have a departing II in Invesco.

We're also vulnerable to a takeover, esp. as pointed out by Trader_3's research and SGS.

OTOH, we've just had new ISA season - and anecdotally a lot of people have gone for ORPH. That , by definition, tends to be 'patient capital', to coin a phrase.

We've had news re DIM in the last few days...and now a roadmap re immune modulator...which gives a little more clarity re the longer term game plan, but also is attractive to a more stable investor base that isn't frightened by a few months' lock-up.

That's a lock-up in the (free) spin-off, btw, not in ORPH itself, as some of the bb comments seem to think

ORPHO took on board Elizabeth Sullivan as a NED last November, she's Irish (bit of a theme,here, Cathal ;->) and a NED at IP Group , the biotech and other sciences incubator.

I wonder whether IP will be an investor in NewCo ?

Up sum : CF is addressing volatility/vulnerability in his PI base...and the last few days' news will start to attract (IMO) II's ...both of which are good for LT holders.

Release of ORPH's 2020 numbers (and forward-looking statement) will surely only strengthen the investment case.

And will surely now require SGS to sharpen its pencil a bit, if it does indeed have any plans in mind.

Big deal, it was 60p undervalued and it went to 63p undervalued. Hundreds of traders and chartists sheep happy with a winner making a hundred quid, while ensuring then don't make tens of k. And 77% of them lose the lot anyway, even with the odd hundred quid winner. At least 77% is the usual warning the trading sites have to tell you, strange how many don't believe that statistic.

Unfortunate that takeover speculation is the day before the spin off RNS, caught me as well I topped up at 43p yesterday was hoping for a better run before the RNS. Hey ho, back to plan A sit and wait all will come out in the end and buy on the dips.

Well my timing yesterday was as good as ever! Could have got a lot more bang for my buck today. No doubt there will be a bounce but where will the low be and where will we close? Will know in a few hours time. Guess I should remember that this wasn't intended to be a buy and sell "trade" and it will come good when other news arrives. Long term vs. short term.
