ards - I don't think u understand the regulation - if the company receives a bid the company has to disclose that information to the market.

I dont think it is a coincidence that the bid news came out the day the share tanked. What I think happened was that the talks have been going on for a while and is probably the same parties as before. this is important as the due dilgence should not take as long this time. the rns trading statement was particularly bullish and could have been a negotiating ploy however when the share price tanked this weakened NIS hand so they announced the bid. I think NIS are on back foot now and are more likely to accept a reasonable bid as long as stones position sorted.

Interesting that the current offer proposed is around the 100p mark according to sources and the share price is 60p, obviously the market doesnt believe it will go ahead.

Glad I didn't jump in 2 days ago. Waiting for the share price to bottem but then again aren't we all. Surely if there really was a buyer sniffing around doing dd etc then word would be out?
A lot of debt and with credit as it is thats bad news for NIS and also anyone wanting to buy it. Sad times. Anyone any good news?

Careful - let's be accurate: that was not a RNS but a Thomson news report which ADVFN and others carry on the same channel. It says a private equity group (highly likely) but the official notice simply said "an approach". It says "reported to be worth"... (£1/share), but does not say who reported that. 14 months ago we had various newspapers claiming it was X, where X was mainly between 100 and 115, but that tends to happen with all bids.

Let's face it, we are in the dark and so seize on these snippets. What will really influence this will be things like the non-execs sounding out the large institutional holders through the company's brokers and what the bidder is saying to Stone - perhaps they will add on Anite's bit, put him in charge of the lot and up his pay - that could swing it!!!

hmmm saw that rns myself ... but a 65% premium to todays closing price? really? cant see it happening ... Again! Wish he would but cant see stone et al recommending it either. Oh happy days.

The kicker is in 6months time when they announce the finals - broker estimates for the coming year will be consensus circa £60m profit which at 12x earning means we long termers are being robbed. Also imho the premium now attached to borrowing new money means Stone's strategy will switch from acquiring to paying down debt - itself helping to increase shareholder value - have to remember the share price was on the up and up until Arinso as NIS was paying down the Sx3 debt.

within that Anite RNS came this snippet: Northgate said it is in takeover talks with a private equity group, in an offer reported to value the company at 580 mln stg.

That makes £1 a share - NICE :D

The bidder will want/need a board rec to get legs for their financing ticket - £1 a share undervalues NIS but against the current market the Board has to rec. Could flush out other bidders

This will bottom in the next 30 mins and then rise for the remainder of the day.
Think its the MM's strategy to free up stock for the larger investors/institutions.

as i said previously, a very strong performance today considering the state of the markets.
Looks like the takeover is alot closer than some may think.
Anything above 90p will do just fine.

Wouldn't be surprised if the potential bidder were doing due diligence at the mo.....assuming there is nothing nasty in the accounts (very much doubt it)...they will have a price in mind...reckon it is lower than last time...but significantly above the current 63p.

I just hope Mr Stone & the board don't reject an offer 'cos they want to build an empire or because of some ego thing.....if the price represents a significant premium to 63p then they should think of the shareholders (including themselves) before they accept/reject 'cos we collectively own the business ....an offer of 100p would suit me just fine.....in fact something in the 90s would do right now.
