Purchase of own shares and completion of share buy-back programme

The Company announces that on 1(st) May 2018 Shore Capital Stockbrokers Limited ('Shore Capital'), as agent for the Company, purchased 41,281 ordinary shares of 5p each in the Company ('Ordinary Shares') that are now held in treasury. The Ordinary Shares were purchased at a price of 64.2 pence each.

As a result of today's purchase and further to the announcement on 8(th) November 2017 that the Group intended to repurchase up to 5,000,000 Ordinary Shares, the Company is pleased to announce that the share buy-back programme is now complete. The 5,000,000 Ordinary Shares have been purchased for a total cost (before dealing costs) of GBP3,426,349, implying an average purchase price of 68.5p per Ordinary Share.

Following the purchase, the Company holds a total of 5,000,000 treasury shares and the Company's issued share capital (excluding shares held as treasury shares) consists of 312,049,682 Ordinary Shares.

The Company's total issued share capital is 317,049,682 Ordinary Shares. The total number of voting rights in the Company is 312,049,682, which is the number which may be used by the Company's shareholders as the denominator for calculations by which they will determine if they are required to notify their interest in, or a change to their interests in, the Company under the Financial Conduct Authority's Disclosure Guidance and Transparency Rules.

In accordance with Article 5(1)(b) of Regulation (EU) No 596/2014 (the Market Abuse Regulation), a full breakdown of the individual trades made by Shore Capital on behalf of the Company as part of the buy-back programme is attached to this announcement.
