POTENTIAL OFFER




NeutraHealth plc, one of the UK's leading vitamin & supplement companies,
announces today that it has received an unsolicited approach from Elder
Pharmaceuticals FZCO ("Elder"), a major shareholder in the Company. This
approach may or may not lead to a partial offer that would result in Elder's
shareholding increasing from 21% to between 50-60%. The indicative partial
offer price is at or around 5.5 pence per share.


As a result, the Board has delayed the announcement of the Company's preliminary
results for the year ending 31 December 2008, which were due for release on 9
March 2009. These results are expected to show revenue of approximately
GBP28.9million, EBITDA of GBP1.9million, before one off items, and Net Debt of
GBP4.3million.


The Board will make further announcements in due course.




However....Why should that delay the results ? That is one thing that we need full knowledge of in a bid situation of any kind.

Tentative new interest in NUTs ahead of the next results. Market wants update on strategy and trading but don't rule out further injection from Elder Pharma (averaging down!).

There is a buyer in the market bidding for stock pre figures.

Time to crack some?

Any transaction priced at 2.49p is not a sale but a purchase(under the Mid price of 2.5p is deceiving). Today I bought 45,000 of these through TD Waterhouse on a T+20 contract, at this same price. This transaction does not appear at all. I will hold these for the long term as am of the opinion that they are a great long term investment. Call me a NUT if you like! Only time will tell. Almost all sectors of industry will be hit through this economic downturn. Working capital and product pricing are the two key ingredients for the success/failure of NUT (IMHO).

Financial Highlights
* Revenue increased by 18% to £11.6m (2007 interim: £9.8m)
* Gross profit increased by 11% to £4.3m (2007 interim: £3.8m)
* Adjusted EBITDA before marketing costs and one off income and costs increased by 16%
to £2.0m (2007 interim: £1.7m)
* Profit on disposal of Brunel Healthcare OTC business of £3.4m
* EPS increased by 518% to 2.0p (2007 interim: 0.3p)

I am happy to hold my 100k Phil and results should be published in the next week or two based solely on last years publication date. To be honest, looking around the market all small companies are getting battered regadless of their financial health anc circumstances. Sometimes best just to hold and do nothing than continually try to trade the market in these second and third line stocks! Eventually, sensible valuations will return to the market in small caps, but when, it is impossible to tell. Perhaps a glimmer of hope that the large caps appear to have hit the bottom but it takes time for a recovery in valuations to feed down to small caps.

Having shelled out £5.6 for shares at 16p each (when the market mid price was 11.75p), ELDER PHARMA must wonder when they will get their money back. Hopefully today's announcement will begin to lay the foundations for a rise in earnings (and price) and then we will all be a lot happier. BR.

Definitely yes Callum. The drop (as with so many others) has been way overdone. Fair value for these prior to the news was 12p in my mind, but with the recent news 16p is bare minimum imo.

The earnings upgrades for 2009 will follow as night follows day. Only 10 months ago the Indian company (whose name I forget) invested £5m at 16p per share. Ever since, this one has been on my radar. I guess it is not immune to a consumer slowdown. Would that be the reason for the slide in the price, shammytime? Meantime looking to juggle funds to finally buy some of these (if I can buy below 8p)

83Mike the market is forecasting 1.2p EPS for the current year. The acquisition and disposal are said to be significantly earnings enhancing for 2009 so current year P/E of 6 at current price despite 100% EPS growth and I think they were forecasting 1.4p for 2009 but obviously that will now have to be upgraded (to what I don't know)
