Dave, you are a very ill informed and foolish fellow indeed, though any idiot can see that comparing NCCL to KIBO is apples and pears, and again, I do hold stock in KIBO so please stop lying, though I don't hold much hope for this as you seem to have *issues* with being forthright and transparent.

Man on a mission...

.."18 November 2020: Ncondezi Energy Limited ("Ncondezi" or the "Company") (AIM: NCCL) announces that it has been notified that on 17 November 2020, Scott Fletcher, Non-Executive Director, purchased an aggregate of 1,615,000 ordinary shares of no par value ("Ordinary Shares").

Following this transaction, Scott Fletcher's beneficial interest in Ordinary Shares in the Company increased to 60,728,197 Ordinary Shares, representing 17.37 per cent. of the Company's issued share capital..."

That's a first for any AIM share I've followed.

So we can track progress almost in real time.
I wonder whose bright idea that was ?

Go on then John what's your valuation? You claim that cannacords valuation of c13p is incorrect. I mean you have the back costs that are to be reimbursed at financial close, along with the developers premium and the subscription fee from CMEC as was explained by Hanno in a recent interview, so how about you put a price on this rather than just pointing out why you believe anyone else who is doing so is wrong.

THis emphasises that Hanno has never divulged any info to separately value the coal mine (which is much larger than needed for the initial power plant) - it was originally to be separate from the power co. But since the revamp and change to CMEC 3-4 years ago is now (or part of it) to be 'integrated' with the power 'project' (if not the power 'co' which might be different.). The 'nominal' value of the power co's shares is of course meaningless and it is certainly much bigger (if only because NCCL's 'past spending' has been hinted (from other info)in the past is well over £25m. All in all investors have practically no info now to value the project, let alone their shares. (The Cannacord report wasn't much help). Whether SF realises that I can't know. If he does he should push Hanno to put more info out even before any tariff or EPC contract or financial close.

Every warrant that's excised is cash in the bank for the company so it's win win. Obviously anyone that's inside won't be able to trade their stock whilst inside.

As part of the Fundraise, for each new Ordinary Share subscribed for the placee will have a non-transferable warrant to subscribe for an Ordinary Share with an exercise period of two years and exercisable at a price of 6 pence per new Ordinary Share. A total of 21,666,666 warrants will be issued (the "Fundraise Warrants"). The Fundarise Warrants will not be listed. In the event that the Company's Ordinary Shares trade at a volume weighted average price at or above 8 pence per share for a period of five consecutive trading days the Company will have the option to call on the holders of the Fundraise Warrants to exercise their warrants.

Answering myself, from p3 last AR, these seem to be the most potentially impactful :

."On 15 May 2020, the Company raised a total of £650,000 before expenses, through a placing of 21,666,666 ordinary shares in the Company at a price of 3 pence per Ordinary Share (“Placing Price”) together with 1 warrant to subscribe for an Ordinary Share at 6 pence per new Ordinary Share ....

and currently in the money :

In addition the Senior Management Team and certain consultants to the Company have agreed to defer 30% of salaries and fees until 30 November 2020. In principle agreement has been reached to subscribe for shares at the Placing Price in
relation to salaries and fees that have been agreed to be deferred. Such subscription, if implemented, would be made in December 2020 and represent a potential total of 1,603,800 new Ordinary Shares at the Placing Price [3p] for a further £48,114...."

I don't know who the warrantholders are and whether there are limited windows to exercise once 'in the money'.
Any ideas ?

Hi all,

From G_G_G elsewhere :

.."I think we may have SF pushing up the share price here. This could run to 6p very easily on the volume he needs to absorb to pick up his 3p options. This would bring his average for the circa 8m shares he needs to buy to qualify down significantly. And then he gets to exercise the 5p options when share price hits 7.5p. All in all he could pick up an extra few % of the company for an average of circa 5p..."

At some point, other warrants become exerciseable, too...

I think it's quite possible CMEC will buy a larger % or the project if not the project entirely.Large buyer hoovering up all the stock I wonder who that might be..
