Further re: Trading Update
Nature Group plc (AIM:NGR), the provider of port reception facilities and waste treatment solutions for the oil, marine and process industries, provides a further update following the announcement released on 7 March 2018 (the "Trading Update"). In the Trading Update the Board confirmed that it was actively engaged in a process to dispose of Nature Oil & Gas Holding, its wholly-owned subsidiary, and was in advanced discussions with a preferred bidder, having reached agreement on indicative terms and pricing (the "Proposed Sale").
The Board advises that, following release of the Trading Update, it has received indications of interest from a number of parties in relation to possible acquisition of certain of the Group's Maritime operations as well as further indications of interest in relation to the possible acquisition of the Group's Oil & Gas operations.
The Board will diligently progress these early-stage discussions alongside the Proposed Sale, completion of which remains subject to, among other things, continued negotiation, a due diligence period and the entry of the parties into definitive, binding agreements. Shareholders should note that there is no certainly that any transaction, including the Proposed Sale, will be concluded on the terms indicated or at all.
