Easy going either way as a MWB holder.

Either they get the Regus cash or they get a business operating in an improving enviroment.

Win win.

If anything - Regus clearly think it is worth more than 92p - so why sell out at that price?

Worth noting the impact of the Regus valuation of MBE on MWB. MWB is carrying its MBE investment at £13.45m or 8p per share. The Regus valuation of MWB's MBE stake is £43.36m or 26.4p per MWB share. If MWB approved the sale it would enhance MWB NAV from 68p to 86.4p!

Given MWB is clearly overleveraged and should focus on its hotel business the best thing is for MWB to try and squeeze Regus a bit higher and then accept the offer.

I am sure this is just the start of it with Regus and a higher offer will be on the table soon this was the first shot over MWB bow.

Actually I've had very little active interest in MWB itself, so I've not been party to any discussion on this thread, so poster's 'history' is of no interest.

On the face of it though, markt has it spot on, as confirmed by the content of the Regus announcement and their comments on the financial status of MWB.

Would have thought MWB must have known that Regus might make an offer, so I wonder what prompted MWB to make such a low offer ?

Could it be that MWB would be quite interested in a sale at 90p, but of course if they offered 90p themselves, there might not have been any incentive for another company to make an offer, so they'd be kind of shooting themselves in the foot. (Or at least not a much better offer from elsewhere.)

As it is MWB might walk away with a nice cash lump from their investment in MBE, instead of waiting years for 'long term value' to out - if that's what they really wanted to wait for of course.

Markt talking rubbish again then.

Looks like Regus might have been flushed out so would be a nice little earner for MWB's 75% shareholding.

Quite.

I'll be getting a few MWB from owning a small stake in MBE. That takes me from a position of being able to understand the accounts to one where I won't have a clue as to whether progress is being made or not.

Unless you are an expert and able to calculate the reality inside this company ..which has many related party transactions (always makes me worry)...
I would be cautious....

Anyone analysed the debt of MWB ?
(highly geared if I recall when I last looked at the numbers, assetts and debt were multiples of the cap. value which indicates massive risk imho)

...maybe the directors interest is to run their own hotel conference business from the same offices !!

Anyone understand the Servco. deal/history ?
It was a yearly cost of 2-3M to run MWB HQ I think...
but with cost reduction programme it was decided to end that arrangement
all a bit strange imho

Unsecured junior debt is expensive. A rate of 9.75% doesn't stand out as being excessive given the level of senior secured debt within the group.

...the massive dilution of the rescue share issue in 2009/10 at around 30p has really killed the possible future payout per share...

Pyrrho are the ones who wanted to buy Liberty, so they may not be on the best terms with MWB.

Pyrrho is the single largest shareholder with a holding of 20.38 [out of date] per cent. in MWB Group Holdings Plc ("MWB"), the largest shareholder in Liberty. Pyrrho does not have any representation on the board of MWB nor does it have any participation in the day to day management of MWB."

Who is behind "Pyrrho" ? is it the directors ?

Any opinions on the directors of MWB ?
......looks like a spiders web for all deals......and that the directors are involved with millions of pounds of 10% loan stock, new units at 32% below share price in 2009, massive share options....

Servco deal.
Was chargin 2.4M/year to run head office.
Very high % of the cap. value of MWB.
Fair ?
Any related party involved in Servco ?
Does the cancellation of the contract in 2009 when MWB was marginal for meeting banking covenants show that it was always over priced ?

Do the directors know what they are doing ?

Went from 3 pounds to 40p....and then an SOS share placing at below 40p !!
