I agree we were warned in the RNS.

But they did not say nor was it implied that we would get nothing which I feel - 1p is. I would have expected them to have negotiated a better deal for the share holders.

3 or 4 times would be 3p and 4p respectively - does not help if you bought in much higher than that point and had an expectation that they would have negoated a better deal above that point?

Personally I would rather loose the remaining money I have left - than let the board get away with this. There is also a chance that they will have to get back to the table and getter a better deal for the table. They use the threat of administration to justify and push this deal. Expecting of course to keep there jobs and make money after selling out the shareholders!! Criminal

Given the history of this company, contacts and turnover its got to be worth more than 1p with debts.

So does anyone know how to vote against this?

I guess many holders have so few shares that its uneconomical to sell their shares via a stock broker so might as well wait for the 1p cheque.

Those individual shareholders that have larger quantities should consider selling in the market now as the 1p special div presumably (please tell me if I'm wrong) will have tax deducted at source and potentially have further income tax to pay on this dividend for higher earners. So will end up with alot less than 1p from their original investment

Every persons tax affairs are their own but just passing on my thoughts

Why not instead give a stake in the business to the long time employees of the company? Morale must be low and so they will need cheering up and incentivising for the work ahead in the new company.

I say management 2% - employees 18%.

nathan, if the shareholders vote against the deal, the company will go into administration and shareholders will receive nothing.

Why are all the shareholders on here complaining? You were told very clearly by the company in the RNS dated 11 June 2012:

"All the options being considered will result in there being only limited value for existing shareholders".

There was plenty of time to sell at 3-4 times the current share price.

They are not going to let the company sink - so saying no would surely make them get a better deal for the shareholders.

When did limited mean no value?

Hopefully they dumped brough as well! What a waster.

Thank you for that post Richardjs2. I am one of the ex employees of MCHL who bought shares in the Company when it was properly managed. It pains me beyond belief to see what 2 successive management teams have done to this once proud company that was started by Frenchman L G Mouchel. Cuthbert was incompetent but words fail me regarding Bo Lerenius - how on earth do these people get to run companies? I dream about some white knight taking on Rumbles but reality says I along with lots of other employees are being stuffed by the financial manipulators of this world.

Hi Whoppy - You must be quite high up the Atkins chain if you know about the bid information of £1.50 for Mouchers. I am currently working for Atkins in their Oxfordshire offices.
Must say Im impressed with their knowledge centre and can do attitude!

The Directors should be totally ashamed of themselves and should not be kept in their positions, the probably reason imo they did not sell when they could at 150p was due to the fact that they were likely to lose their jobs as they would be absorbed into the BOD of the company buying them. Unfortunatley its a self preservation thing for them , a great company with good contracts and poor management imo.

Atkins offered 150p a share back in February and Peter Fraenkel offered 100p. MCHL agreed a buyout with Fraenkel's as they were willing to keep on all the employees and strategically it was a good fit for PFC. They were mainly buying fot the Australian highway contracts and wanted a bigger footprint in highways. Looks like the offers wern't enough for the banks who wanted to take it private, keep 100%, sort things out and sell in a few years for a few hundred million. Banks get the company for the debt, therefore effectively for free. The debt turns into an immediate asset and by all accounts the company is worth more than the debt after delisting when the new owners take over. Shareholders get crumbs. It's a good deal for the banks.

The Restructuring is subject to the approval of Shareholders at the General Meeting to be held on 24 August 2012. Assuming that Shareholders vote in favour of the Restructuring, the proposal will result in the Delisting of Mouchel, which is expected to take effect on 25 September 2012. Following the Delisting, the Restructuring will complete.

Any share holder agreement should be conditional on the board resigning and recieving no payment - have their salary immediately cut in the short term

You may ask how will run the company - there are plenty of bright six year olds who can do sums...

The company may well be listed again at some stage but it will not be to the benefit of the holders of 'C' shares.

New shares are being created, the old ones will 'ALL' be purchased for 1p in total. Shareholders are getting a 1p dividend to vote for the downgrading of the shares they hold to non voting worthless shares.

From the RNS:
"There will be no share certificates issued or entitlements created within CREST in respect of the Deferred C Shares. As soon as reasonably practicable following completion of the Restructuring, the Company intends to exercise its right (set out in the New Articles) to repurchase all of the Deferred C Shares for a de minimis consideration of, in aggregate, 1 pence. The Deferred C Shares will then be cancelled."

Note the operative words 'in aggregate' ALL shares for the trivial(i.e. de minimis) sum of 1p.

The 1p being paid is a dividend, they are in effect buying your vote.

Of course failure to gain votes may well mean Admin and 0p, so it will get passed.

The only benefit in buying is that shareholders will vote against the deal and an alternative sought, otherwise you buy at 1p and get a 1p dividend, there doesn't appear to be any benefit in the relisting to existing holders. Why would any existing shareholders vote in favour of this deal?

On the basis of whats been said this morning in the RNS and on here, I dont undrstand why there are any buys going through this morning at all, surely a total waste of money or am I missing something?BTW I bought and sold with these last year but jumped ship once I found out a bit more negative info on Mr Grumbles, seems he 'couldnt run a bath.'
