Joint Announcement
Mobeus Income & Growth VCT plc (MIG), Mobeus Income & Growth 2 VCT plc (MIG 2), Mobeus Income & Growth 4 VCT plc (MIG 4) and The Income & Growth VCT plc (I&G) (together the Companies)
Issue of Fourth Supplementary Prospectus
The Companies issued a prospectus ( constituted by a summary, securities note and registration document) dated 25 October 2019 (Prospectus) relating to the offers for subscription to raise , in aggregate, up to GBP38 million, with over-allotment facilities to raise, in aggregate, up to a further GBP20 million and, in the case of Mobeus Income & Growth 2 VCT plc only, a further increase to raise up to a further GBP2.1 million (Offers and each an Offer). The Prospectus has been updated through the issue of supplementary prospectuses dated 20 December 2019, 7 February 2020 and 25 February 2020 (First Supplementary Prospectus, Second Supplementary Prospectus and Third Supplementary Prospectus respectively).
The Companies have each announced utilisation of their over-allotment facilities. I&G has announced that its Offer was fully subscribed, that all I&G Offer Shares have been allotted and that its Offer has closed. MIG, MIG 2 and MIG 4 have each announced that their respective Offers are fully subscribed.
On 26 March 2020 each of the Companies published an unaudited NAV per Share as at 24 March 2020 reflecting reductions generally across the portfolio as a result of the market conditions arising from the Coronavirus (Covid-19) pandemic (Updated NAV Announcements).
In respect of MIG, MIG 2 and MIG 4, the Updated NAV Announcements is a significant new factor in relation to the Prospectus (as updated by the First Supplementary Prospectus, the Second Supplementary Prospectus and the Third Supplementary Prospectus).
The Boards of the Companies announce that they have published a fourth supplementary prospectus (Fourth Supplementary Prospectus) to the Prospectus (as updated by the First Supplementary Prospectus, the Second Supplementary Prospectus and the Third Supplementary Prospectus) as a result of the Updated NAV Announcements for MIG, MIG 2 and MIG 4 .
A copy of the Fourth Supplementary Prospectus has been submitted to the Financial Conduct Authority and will shortly be available for inspection at the National Storage Mechanism, which is located at:
