As for the BoD themselves, they should be sh ot and put our of the miserable incompetent misery.

PLEASE NOTE: I only use that language in the same "creative way" our dear leader uses words like “imminently221; and “transformational” and “pleased”;. Whatever his dealer sells him, I think I might buy some. Certainly gives you a totally different understanding than most sane peeps around you.

More interesting chat. My 2p on the in good faith comment was that as there was also no Heads of Terms, that this might be, as mentioned by someone else, (Waterloo? and perhaps aptly lol?), a possible fire sale. That Zachary have instead of calling in the loan might have said along lines of 'give us the travel business as payment, or else...'.

I thought that the terms though of Zachary would have been more about asking for a chunk of CS, rather than the travel business, if it came to them deciding that time was up for Minoan to deliver repayment in some form or another.

If they have asked for the travel business (and of course it is a big 'if') then it begs a thousand other questions as to why that, rather than a chunk of CS.

I'm trying to keep it simple in my own mind, and i still think there will be an RNS in maybe a month's time saying that Zachary have bought the travel business, there's been a placing, which i cannot see how they can conceivably avoid, and any update on CS.

But as JJ says... wtfdik!
Oh and by the way.... I'm intrigued as to optrade's recent incarnations... ;)

PJ, that phrase caught my eye too. What I took from it was that MIN had rebuffed someone else, while having "informal" discussions with Zachary, who they already had a relationship with (probably before actually formally rebuffing the other someone).

I still think the switch of the loan to Zachary from the Hillside structure was deliberate by Hillside. Particularly, given the loan was only being extended for two months. I mean why bother switching after all the time we've had the loan just for final two months. Unless for deliberate purposes.

But, WTFDIK?! :)

As far as I am aware, due to the possible effect on the Market Cap, any take over offer is RNS'd, and an RNS has to appear if that offer is withdrawn for the same reason. Not a month goes by without this happening on the UK Markets.

Why are Minoan so different?

Maybe those close to the Company could ask the Q and report back? (please don't accept it's because of the NOMAD)

It's often what Company's are NOT telling you that is important

From the last RNS ''Following the consideration of approaches from other prospective buyers, negotiations have been taking place in good faith with the Group's primary lender, Zachary Asset'

It reads positive yes? IMO it's designed to mislead as they fail to mention how many were credible and how many have walked away. What's the betting in real life that Zachary are the only current prospect?


Why have they referred to ''good faith'' when previously with the take over they have not?

What we know for sure is that there were previously a number of interested parties and they are now talking to one alone - Zachary apparently, our lender. Who already have long term in-depth knowledge of the company, as they loaned us lots of dosh over several years.

Another key thing I think this time - as I understand it - we do not have a live loan agreement and therefore Zachary are not currently accruing further profit on the loan. So they have an incentive to close quickly. (I suppose they could deduct a bit when they settle the figure for T+L)

A few traders may have to close out before news, and still another one or two may drop out, but I think most will sit tight now, or accumulate at these levels. When the HoT is signed, we really would have reached a milestone.

Just wish CE and chums would go back to school and learn about the meaning an use of basic English. Kind of basic for people on big fat salaries - even when they have taken a pay cut.

nick, any sale will require an EGM, including the sale referred to by ''exchange of contracts'', so I don't think your point is correct there

The communication strategy from the Co is clear to me but opaque.

PJ1, they will need EGM approval hence heads of terms as opposed to contract exchange. EGM will rubber stamp of course.

smith76. The Company have not RNS'd about any ''imminent'' transaction. IMO things have changed and gone back yet again from the penultimate RNS (and those before that to an extent)


What they have committed to now is that ''heads of terms'' should be signed imminently and a period of exclusivity granted, as stated in the last RNS


My ''hope'' is that as a related Party any DD required has already been completed, but Im not really sure about that.
