It's not an easy RNS to understand. I wonder if more than one purchaser has walked? Surely DD is complete but as microscope says it may not be. How can it take this long

I'd envisage take up of some or all of the warrants will leave MIN debt free and without need to return to the market for further funds. Also, depending on how many are exercised as part of the deal, Zachary will then become a significant shareholder. I'd expect them to push for the early sale of CS and ensure MIN are run on a very low cost base. Possibly part of their requirements is shown in advance of the deal concluding in the form of the 50% reduced remuneration of CE.

What about the CEO taking only 50% or all in shares? It seems that Zachary are buying T&L (ony option left to them) with warrants exersized (and sold?) at current price rather than 8p?

I guess better than the worst case of the loan being pulled (although the threat still exists) but it's not far from it.

If they are exercisable at 8p or it might be 7p now they should surely hold onto them whilst the interest in the cs development is still ongoing. I doubt they would sell before then?

So are we back to the 13th March announcement in effect but with a different buyer? That's how it looks to me.

This morning: "Minoan is pleased to report that, following a period of negotiation, it expects to conclude imminently Heads of Terms, including exclusivity, for the sale of its T&L business, Stewart Travel Limited..."

13 March: "An exclusivity agreement has been signed with the preferred buyer of the Travel & Leisure division..."

infact it looks to me a little behind where they were over five months ago, with another period of due diligence about to begin (lol)!!

One other point, paying off the Zachary loan (which could be months away) does not necessarily leave the whole Group debt free. And nothing about CS.

My guess is the price will spike on open and when people absorb what it actually means the spike may not last the day!

They solve two problems in one if it happens. Clears the way to concentrate on the main show the CS development. The warrants would have been taken up by Hillside presumably anyway.

Minoan allowed a third party exclusively with regards to the sale .They allowed that party to then walk away 8 months later.

They then claimed in vague rns announcements that another party would step in immediately and complete.

We are still none the wiser as to the detail !

We are told that doing Business in Greece is difficult ,I am sure it is.
However they seem to find it equally difficult in The uk.

Heads of agreement is not a signed contract.

I feel we have been mislead for months on the so called sale of travel.

PJ...less than you hoped for?? Last week someone was speculating that the sale of T&L wouldn't fully pay off the loan! Loan paid off now so I'm pleased. Of course it will happen at Minoan speed that's all.
