IMO the Minerva board of directors has failed its shareholders.

They have made no progress in securing a single letting in the last 18 months.

KiFin was right and the board should have gone. It is now likely to sell for a paltry 120.5p due to the board arguably not creating any shareholder value at all in the last 18 months.

Commenting on the Offer, Mr Oliver Whitehead, the Chairman of Minerva said:

"Having received an initial approach we have conducted an extensive auction process over the past few months and the Board has concluded that the Offer is the most attractive proposal and provides certain value for Minerva Shareholders. The Board has therefore decided to recommend the Offer to Minerva Shareholders, taking into account the risks, rewards and timescales associated with realisation of value from Minerva's assets."

Perhaps you are right about the T&C's but unless it really is desperation time why support such a relatively poor offer (to NAV) at this stage, with the principal assets hopefully about to become cash generative and NAV's in the sector generally on the increase. They should be fighting for independence unless they have really exceeded their level of competence.

Are those not just the standard T&C's that are included in any offer?

Agree that the board could do a lot more here though. Shame they are not being as pro-active as when Kirsh made his offer....or not been as pro-active about enticing tennants.

Below is a paragraph taken from the recent potential offer RNS. It begs the question is this board working in the best interest of its shareholders or the bidder?


In return, Minerva has agreed, amongst other things, that:

-- subject to certain limited exceptions, it will not solicit, encourage, initiate, negotiate, discuss or otherwise seek to procure the submission of any competing proposal which is reasonably likely to lead to an offer to acquire the Company and it will notify Bidco in the event that it receives any competing proposal;

I've hedged my bets and exited all positions here last few days - been a long and great journey from 14p and occasionally highly amusing (does anyone remember the jolly sailor Capt blackbeard (aka 10009490 or something!!?)and his various sinking ships - amazing entertainment now being enjoyed by the PDX crew (God bless 'em all me hearties!).

Good luck to all who held (and hold now), she may yet spring a surprise or two, but pastures new beckon! ;-)
