If the same thing happens as it did with one of my other companies who went private, you will still hold the shares, but will not be able to trade them on the stock market nor will you be able to sell them to anyone other than MDY itself. If they end up selling Stanmore you will be paid accordingly.

Investment syndicate

The investment syndicate will invest a total of �12.5 million to acquire the
Company and provide funds for future growth of both the core business and the
clinical development of ITAP, its key new product development. The syndicate is
co-led by MDY Healthcare and Abingworth and also includes Ivy Capital Partners,
LLC ("Ivy Capital"). Abingworth is an investment firm dedicated to the life
sciences sector investing across all stages of development from early-stage
through to public companies. Ivy Capital is a US Private Equity firm specialised
in investing in companies operating in the musculoskeletal sector of the
healthcare industry.

MDY Healthcare has invested �3 million in the transaction and will have
approximately 20% of the issued share capital on a fully-diluted basis. Charles
Spicer, CEO of MDY Healthcare and Tim Haines a Partner at Abingworth, who will
be investing �8.5m, have been appointed to the board of SIW.

Don't be fooled, Stanmore is going like an express train - through the eye teeth of recession, it has shown growth of at least 20percent+ and is on the books at fair value not market value. imo

14 February 2012-- Valuation of sole remaining investment, Stanmore, "maintained at cost", representing the fair value of the investment.

22 December 2009... Stanmore on track for sales of approximately GBP6 million (unaudited) for 12 months ending 31 December 2009, reflecting strong increase in exports during the year.


March 8th 2011-- Stanmore achieved revenues of approximately GBP6.1 million (unaudited) for 12 months ended 31 December 2010 (2009: GBP5.6 million (audited)). Key Transfemoral ITAP trial continues at the Royal National Orthopaedic Hospital in Stanmore.

14 February 2012-- Stanmore directors anticipate revenues in """excess of GBP7.5 million""" (unaudited) for 12 months ended 31 December 2011 (2010: GBP6.1million (audited)). Stanmore received FDA marketing approval of the Juvenile Tumour System in July 2011 and launched the product soon after.

Court Hearing Continued and Postponement of the Capital Return
5 April 2012: Further to the announcement on 3 April 2012 regarding the continuance of the court hearing in connection with the proposed cancellation of the Company's share premium account and reduction of capital (and incorporating a return of capital to shareholders) ("the Capital Reduction"), the hearing reconvened today in the Court of Session in Edinburgh. After hearing further representations from the Company, the Court continued the petition again until a date to be confirmed later this month to allow for further notification to interested parties.
As a result of this continuation, the Directors of Company consider it prudent in the circumstances to postpone the cancellation of the admission to trading of the Ordinary Shares on AIM pending the further Court hearing. As such, today will not be the last day of trading of the Ordinary Shares on AIM. Since the re-registration of the Company as a private company is conditional upon de-listing taking effect, this will also be postponed accordingly.
With completion of the Capital Reduction having been delayed, the Company is currently unable to return of 52 pence per Ordinary Share to qualifying Shareholders pending the further Court hearing and the receipt of the relevant approval.
The Company will provide a further update to shareholders in due course.

Thanks for that. Interesting turn of events tonight!

Regarding the question regarding selling now, my take is that once you do that, you cease to have any interest in the business.

For those of us that take the dividend, we remain shareholders, albeit in a private company and will receive our share of any monies that come from the escrow account and the sale of our stake in Stanmore. (impo, worth waiting for)

Conjecture alone leads one to wonder, if someone has seen monetary value in either our Aim listing or our tax breaks. I do stress that it is no more than ill informed ramblings

Any thoughts out there.?

3 April 2012: Further to special resolution passed at the Company's EGM on 8 March 2012 in connection with, amongst other things, the proposed cancellation of the Company's share premium account and reduction of capital (and incorporating a return of capital to shareholders) ("the Capital Reduction"), at the Court hearing today in the Court of Session in Edinburgh of the petition to consider the Capital Reduction, the Court continued consideration of the petition until 10.30am on Thursday 5 April 2012 to enable it to hear further submissions.



The Company will provide a further update to shareholders following this short continuation.

We don't know that yet. It depends on the Court hearing and I can't see it listed...I've asked them to confirm what the status is.
