Issue of Sharesave Shares and Total Voting Rights

Marshalls has allotted and issued a further 59,320 new ordinary shares of 25 pence each in satisfaction of the exercise of employee options under its 2015 Sharesave Scheme. The shares were allotted at a price of GBP2.91 pence per share, the discounted price set at the time of grant, and were admitted to trading on 27 November 2018 pursuant to a block listing application for 995,000 ordinary shares, leaving a balance of 380,940 block listed shares available for future employee share exercises.

The new ordinary shares were allotted and issued under the authorities in place following Marshalls' last Annual General Meeting held on 9 May 2018. Following this issue, there will be a total of 199,992,815 Ordinary Shares in issue. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Marshalls under the FCA's Disclosure and Transparency Rules.
