PEA /BUY OUT Massive high grades in drill reports last 6 months. Yet no resource update for months and months and months (nearly 12 months). Old Russian mine to be opened up soon, more drilling, more gold!? (of course!). Possible resource 5 - 10 mil oz possible. Not sure it's only Sandstorm shareholders who are not 'over the moon' shall we say. Sombre reaction to say the least on both sides.

How do you know that Sprott do not support this deal? Just because they have not signed an irrevocable does not mean they are against the deal. They may not be allowed to as they are US registered or some other technical reason. If the come out publicly and say they think its low ball then fair enough. Given the fall in the Sandstorm price this week it looks like those shareholders are the ones who should be complaining!

IRR of over 100% and AISC of $400/Oz must be the best in the world. I have never seen figures this good.

NEW OFFER / REVISED OFFER Well, I'll 'throw my hat' into the ring as we say here, and go for an increased offer of 25% in May (so around 140 p/share). Still 'LOW-BALL-PARK' considering over 50% of the permit still to be drilled and MARL are always projecting 'amazing' world beating grades out there (5MIL to 10MIL oz possible for the permit in anyones book). But this should at least get things moving in the right direction.

Well, MARL did not release the most important information in their PEA, but they did it in joint presentation with Sandstorm this week. Robust Estimated Economics:1 IRR over 100%, AISC less than US$400/oz (gold equivalent basis). I have that amount and more. So I guess you can count me as 1 for your list (if your counting that is!). I am a private investor who trades in Gold and Silver stocks mainly. I do not moan, but am aware of company and resource values, which are not being released to the market as normal in this circumstance. Others seem to be agreeing, despite what ever the share price does on an intraday Good luck to you.

Judging by the way the Sandstorm price has performed this week the market things they have paid too much! The volume has been much too large to be arbitrage selling. Sandstorm could always increase the bid if they wanted to as its not Final. How many of you Private Investors who moan about bids always being too cheap and how the management have sold you down the river have a holding in the company of more than 5% of your portfolio or £25000?

Hi y'all.........This was posted on one of our American site's. Thought it was was worth a repost here. Seems a 'mood' is beginning to form after the dust has settled : https://seekingalpha.com/article/4038630-resource-sector-meet-mariana-new-industry-leader Interestingly it seems SAND already has a backup plan to raise their offer price on MARL if they can't get the 75% approval needed for this deal. So they may end up being their own counter-bidder if none other emerges! In other words they are fully aware of how their bid may be taken by large stake holders like Sprott et al. If more people informed themselves about things like this companies wouldn't even try making lowball bids like this in the firsr place. They only do it because they hope general ignorance will allow them to get away with it.

Does anyone have an opinion on the trade Sandstorm is offering? It seems that the main advantage goes to Sandstorm via an asset ( Mariana)that has such an impressive find in Hot Maden and shareholders receive mostly stock and only a 19% interest in Sandstorm??? Shareholders can get this kind of return in a much safer jurisdiction. Am I missing something here? Thanks in advance for your thoughts! Long Mariana!

Sprott and Resource Capital will both have to release an OPD disclosure ( all holders of more than 1% have to) within the next 10 days so we will know how many they have. If there is another approach then Mariana must disclose it when the talks get serious even if there is no firm offer. The option to go to an offer and therefore win control with 50% +1 share is standard, but it is harder to buy out any minority this way hence the scheme which is a cleaner way of doing things. I am net long of MARL and short of Sandstorm as the spread is wide by current arbitrage standards.

He is top geo at Sprott, also wrote an article on MARL back in 2015, ( see bellow) Sprott Asset Management and Capital Partners do not support this deal as stated in Mining Journal and they are not on the Sandstorm list. Well, I picked up this elsewhere... According to Brandon Hill Capital there is a plan B, that would be my understanding.. 'As this is a scheme of arrangement, the deal is dependent upon getting 75% acceptance although Sandstorm reserves the right to implement the combination by way of an offer thus giving flexibility should the 75% hurdle not be met'

A Sprott Asset Management fund (4.5%) and Resource Capital Funds IV (2.38%) were not listed in the agreement as supporters.
