Still think this offer is 'lowball' & Glen must be on his knees to recommend it!! Will not be accepting & want to know (why/if) information has been withheld from shareholders in the lead up to this lowball offer!!! Anyone else with shares in SIPP & how this offer affects you?

To become Effective, the Scheme requires, among other things, the approval of a majority in number of the Scheme Shareholders present and voting in person or by proxy at the Guernsey Court Meeting, representing not less than 75 per cent. in value of the Scheme Shares held by such Scheme Shareholders, together with the sanction of the Guernsey Court and the passing of any additional resolutions necessary to implement the Scheme at the General Meeting. In addition, the Scheme may require the approval of a majority of the minority outstanding Mariana Shares as required under Multilateral Instrument 61-101 - Protection of Minority Security Holders in Special Transactions. The Scheme will only become Effective if it is sanctioned by the Guernsey Court.

Well this chart shows Sprott on 4.5%, the date at the top is recent. Re-reading the RNS it seems Sandtorm, the directors and some of the larger investors want to stitch up the takeover with a court order. As Proton pointed out, Sprott are not on that list, presumably they were asked and said no, so could there be a counter bid? Sandstorm as the largest holder only have 7% so I'm assuming a large number of the shares are in private hands. http://www.marianaresources.com/capital-structures

Well, the email from Sprott could turn out to be a rumour but it just goes to show what a mistake it might be to sell too soon like me. Starting to accumulate and this time holding for end game. What a bonehead.

Yeah, Sprott is under 1% in 2 funds that I can see. It seems odd that Sandstorm did not get Sprott`s nod for this deal. Hard to know how many MARL`s shares Sprott group hold as they only reports once a year , in June I think. 10.6 million last May they reported( at the bottom) https://markets.ft.com/data/equities/tearsheet/profile?s=MARL:LSE

A poster on LSE claims to have received a response from an email he sent to Sprott "Despite the nice premium, we believe Sandstorm ( where we are also prominent shareholders) struck a very nice deal. We understand that at least two parties are considering alternatives, and as the largest shareholders ( 8.7%) and far and away the largest fiduciary holder (+20%) we will consider all options."

36redhill, as you will get some cash and the rest in Sandstorm shares, it will be what they are worth when the deal is finalised, not what was in the RNS. I had a similar holding to you and sold out today.

SSL shares still plunging - down c 4.5% today and c 9.2% yesterday - making the offer for MARL worth much less than when it was announced! I exited MARL yesterday c 95p.

So just over a day since the announced take-out and already the offer is now only worth 97.8p. 28.75p cash + (0.2573 x $3.46 x 0.7756)p in SSL shares 28.75p + 69.05p =97.8p Presumably Sandstorm holders are not happy and are voting with their feet!

All, I have been invested Sandstorm for a while now as I really like the lower risk streaming/royalty business model. Even without, MARL they have very strong production growth and project pipeline over the next few years. It's a very good way to get exposure to gold and precious metals, which will rise strongly imo. I know Brent Cook (exploration insights) loves the Hot Maden deposit and believes it has huge potential. It seemed a bit strange to me that Sandstorm committed 19% of their shares to one asset, which is a minority stake at that. After the director's warning in that interview about CEOs lying to their shareholders, it seems he is happy with MARL and comfortable with their Turkish partners. The choice for PI's is simple now - sell and take your money off the table, or wait to see if you can get a better deal later.

....or, maybe they have a miner lined-up for the % of the HM sale of let`s say 20% to Alacer. Within few months you`ll have resources update and PFS. I`ll wait for distribution of Sandstorm shares, as I have a feeling this is not the end of the HM story.
