Result of Annual General Meeting

Legendary is pleased to announce that at the Company's Annual General Meeting held today all resolutions, including the change of name and share capital reorganisation, were duly passed.

As a result of the share capital re-organisation resolutions, the Company's 3,842,912,755 existing Ordinary Share of 0.1p each ("Existing Ordinary Shares") will be consolidated and sub-divided into 10,188,255 new Ordinary Shares of 0.1p each ("New Ordinary Shares") and 485,155 new Deferred Shares of GBP7.90 each ("New Deferred Shares") as at 6.00 p.m. on 27 September 2018 (the "Record Date"). The Directors of Legendary have exercised their discretion to move the Record Date from 6.00 p.m. today as permitted under the resolutions.

All Shareholders on the register as at the Record Date will receive 63 New Ordinary Shares and 3 Deferred Shares for every 23,763 Existing Ordinary Shares.

An application has been made for the 10,188,255 New Ordinary Shares to be admitted to trading on AIM and this is expected to commence at 8:00 a.m. on or around 28 September 2018 ("Admission").

Following Admission, the Company will have 10,188,255 New Ordinary Shares in issue, all with voting rights. The Company holds no New Ordinary Shares in treasury. The figure of 10,188,255 New Ordinary Shares may be used by shareholders as the denominator for the calculation by which they will determine if they are required to notify their interest in, or a change in their interest in, the Company under the FCA's Disclosure and Transparency Rules.

The Company's new ISIN will be GB00BG86C059 and its new SEDOL will be BG86C05.

The change of name to Eight Peaks Group plc will be effective once Companies House has issued a certificate of incorporation on change of name, which is expected later today.

Trading in the Company's ordinary shares under the name Eight Peaks Group plc will take effect from 28 September 2018, and the Company's ticker will be changed to '8PG'.

The Company will also launch its new website on 28 September 2018, which can be viewed at www.8pg.co
