I think it might be in all our (small shareholders) interests to gauge how many shares are held by people who monitor this thread. I shall post the totals here but will obviously not divulge any details.

Please don't dismiss disclosing your holding in this way. I think we all know this company is too cheap on fundamentals and that it wouldn't be trading this cheaply if the small shareholders were more organised. It is for all small shareholders' benefit that I'm trying to get a handle on our collective holdings.

To start things off ...

I own 90,000 LDSG shares.

DesWalker, two problems with your post: firstly, it's 75% of votes cast at an EGM or AGM, not 75% of the total outstanding share capital (so directors get their way by people not voting, or giving the Chairman proxies without thinking); and secondly, the AIM Rules have a number of failings.

Sure, a company which intends to delist is meant to go through certain procedures first, and get the votes at an EGM; but Rule 1 states 'an AIM company must retain a NOMAD at all times..." and if it ceases to do so, trading is suspended, and if no new NOMAD is appointed within a month, trading is cancelled. I'm sure this is a failure to connect on the part of the authorities; but it neatly enables a company to get round the other rules, if it wants to.

And they clearly give not a fig about appeasing or pleasing outside shareholders. I suspect it'll end with a 'take it or leave it' buyout and delisting, way under NAV. Sorry, and all that.

Remember that they would need over 75% to achieve this. They'll still be 20% short once JC has got to 29.99%.

Wasn't it you who came away from this year's AGM in a much more optimistic mood than in previous years ? I got the impression that your concerns had been answered at the meeting. Was that not the case and what has changed your mind since then ?

There's no doubt that the considerable buybacks at this level have added value for all shareholders these last couple of years (the continued purchase of TBV and € denominated earnings for a cheap sterling consideration).

A purchase at 18p has to be a totally free option I'd have thought.

ps. Another reason why I can't see things stagnating too long beyond JC getting to the 29.99% is the legitimacy of them stopping the buybacks. How legitimate would it be to answer "because it takes me over 30%" to the question "Why have you decided to stop the buybacks all of a sudden ?". They'll quickly have to find some other way of appeasing the remaining 45% of "other" shareholders when they finally decide to stop the buybacks IMO.

The reason the share price isn't responding is that there are absolutely no buyers of stock. Any sells are absorbed by the buybacks but there's no interest on the buy side to drive the price higher.

The catalyst for a rerating will obviously come from a corporate action in one form or another but it won't happen until management want it to happen and then not until the buybacks have got JC up to 29.99% IMO. By then the TBV should be around 40p per share.

I still think we'll see an MBO at about TBV in a couple of years time. They need at least 75% agreement and even after getting JC up to 29.99% they'll only own 55.5% between them. The remaining shareholders are going to want a fair price for their shares and any low ball offer will attract an action group of opposing shareholders and the eye of the regulator IMO.

I honestly don't know what else they could do once they got to 55.5%. They don't like dividends because of tax so they either 1) sit on their shares making no return, 2) MBO or 3) sell the whole company for a big premium (the best outcome). I can't believe they intend to sit on their shares without a return, so a sale or MBO must be on the cards.

That's a big stick the Dawson board are using to ward off the LDSG intruders - a whole 0.4% of their issued share capital ! A repeat of David vs Goliath !!

It looks like LDSG are causing some waves at DWSN ...

The board of directors of Dawson International (the 'Board') announces that a circular (the 'Circular') relating to resolutions to be proposed at the Annual General Meeting of the Company to be held at Lochleven Mills, Kinross at 12 noon on 29 July 2008 (the 'AGM') was posted to shareholders on 21 July 2008.

The purpose of the Circular is to provide shareholders with information relating to resolutions to be proposed at the AGM on behalf of Leeds Group Plc, the beneficial owner of 28.8% of the issued share capital of the Company, for the appointment of David John Bolton and Jan G. L. Holmstrom to the Board. The Board recommends that shareholders vote against these two resolutions as the existing directors intend to do in respect of their own shareholdings which total 822,200 ordinary shares, representing 0.4% of the issued share capital of the Company.

The intriguing question for me is where are these chunks of shares - 50k etc. - coming from ? Any suggestions ?

And why isn't the share price responding with the EPS increasing slightly each time a buyback goes through ?

Yes, I saw today's 50k buyback but missed last week's 25k. 50k at 17.75p, 25k at 18p.

They said they weren't interested in taking over DWSN so I don't think LDSG are interested in buying any more shares. Fingers crossed someone else is planning a move following recent purchases, and then we can leg back out on favourable terms and plough the proceeds into EET, NOT :(

Another 3.6 mill shares to go to get JC up to 29.99%. We're getting there slowly but surely.

There's also been a very large transaction in DWSN today, it looks like GPG have sold the last of theirs.

I wonder if PG's going to go for the whole of DWSN? We'll find out in a day or so I suppose.
