Exercise of options and issue of new ordinary shares

Learning Technologies Group plc, provider of services and technologies for digital learning and talent management, announces that on 22 July 2021 an employee exercised and sold 100,000 share options in the Company. A further 14,473 shares were exercised under the 2018 LTG Sharesave scheme.

Pursuant to the exercise of share options the Company confirms that application has been made to the London Stock Exchange for the admission of 114,473 new ordinary shares to trading on AIM. Admission is expected to take place at 8.00am on 29 July 2021.

Following the anticipated admission of these shares, the total number of ordinary shares of 0.375p each in the capital of the Company in issue will be 786,930,348 with each share carrying the right to one vote.

LTG holds 404,340 shares in treasury. The figure of 786,526,008 may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the Disclosure and Transparency Rules.
