Another acquisition this morning, this time more substantial at $50m.

“The acquisition of Bridge significantly extends LTG's mid-enterprise learning and talent offering. Bridge is highly complementary to PeopleFluent, which serves the large enterprise market, and BreezyHR, which serves the small and medium-sized business market. The acquisition is strategically important because it enables LTG to provide a holistic learning and talent development offering to meet the needs of small, mid-size and large enterprises, three distinct groups with varying requirements. The combination and integration of Bridge with LTG's other portfolio offerings, including the recently acquired Reflektive engagement and analytics platform, will create opportunities for cross-sell and upsell-led growth within the Group.”

Seems to be well received by the market.

Another good acquisition:

Learning Technologies Group plc “has acquired UK-based PDT Global ('The People Development Team'), a leading provider of online Diversity and Inclusion (D&I) training solutions, for an initial cash consideration of GBP13.2 million.

PDT Global's founders and majority shareholders .... will join the leadership team of Affirmity, LTG's existing D&I business. The integration of PDT Global dramatically expands Affirmity's global reach and capabilities within the high-growth D&I training and consulting sector.

PDT Global delivered unaudited revenue of c.GBP4.8 million in FY20 and EBIT of c.GBP2.0 million. The combination with LTG's Affirmity business is compelling and we expect PDT Global to continue its fast growth within LTG.”

The acquisition “was funded from LTG's cash resources and is expected to be immediately earnings accretive.”

Look out for more acquisitions, although Investor's Champion is a little wary that these may mask the sort of organic growth a business carrying its high rating should be delivering.

Excellent trading update this morning. Strong revenues and EBITDA, robust cash position - all positive. The need for digital education is surely only going grow.CEO Jonathan Satchell:"Amid the disruption of the past year, 2020 also saw an acceleration of structural trends towards digital learning and talent management. This underpins the Board's confidence in the Group's near-term and long-term prospects ..."I have been in LTG since 2017 and my holding has been fully derisked since 2018. The principle reason I've continued to hold for so long is I've seen Satchell continually under-promise and over-deliver. This particular trait gives me confidence the Board is competent and trustworthy.

This morning’s trading statement has been well received by the mkt. Key point is

“The Group's net cash position at 31 December 2020 of GBP70.2 million was significantly ahead of consensus of GBP59.6 million, driven by strong operating cash conversion and additional net cash balances of GBP1.6 million from the acquisitions of eCreators and eThink.

This robust capital position will enable the Group to continue its track record of acquisitions that add to LTG's capabilities in the market” ........”LTG is actively pursuing a near term pipeline of attractive opportunities to deliver further organic and inorganic growth across both Software & Platforms and Content & Services, helping to achieve our strategic goal of run-rate revenues of GBP230 million and run-rate Adjusted EBIT of GBP66 million by the end of 2022.”

Interesting acquisition, if they get it right the software division EBIT margins alluded to were 31.5% so with rev of £10.4m would mean PE 3.5 paid and worth 8% on the forward eps. Depends on execution, did pretty well with PeopleFluent?

To buy in here, you need to assume that LTG will remain industry leading with perpetual international growth. Trading the nearer term visible fundamentals might never quite stack up for value or 'garp' investors. If this theme stays in favour its not liable to come 'cheap'. As such, today's 80 times forecast 2023 earnings might be as good as it gets -
on the other hand, its current high rating certainly appears to be more than double that of the average UK software industry, without being certain that's an appropriate read-across.
