Notification of transaction by person discharging managerial responsibilities

Kier Group plc (the "Company") announces that on 16 March 2023, Ms Alpna Amar, a person discharging managerial responsibilities ("PDMR"), was allocated 49,018 ordinary shares of 1p each in the capital of the Company ("Shares"), as a result of the vesting of awards made to her in March 2020 under the Kier Group plc 2010 Long-Term Incentive Plan (the "LTIP Vesting").

The Shares represent the vested Shares allocated to Ms Amar following deductions for income tax and national insurance contributions due on release of the Shares.

For tax purposes, the market value of a Share for LTIP vesting was GBP0.672, being the closing price of a Share on 15 March 2023. No consideration was paid for the acquisition of these Shares.

The LTIP Vesting was subject to the satisfaction of certain performance criteria over a three-year performance period which ran from 1 July 2019 to 30 June 2022.
