DIRECTORATE CHANGE

Kerry Group plc wishes to advise that: -

The Board has approved the appointment of Mr. Michael Kerr as a non-executive director with effect from 3 May 2021. Mr. Kerr has over 36 years of investment management experience having retired after a long and successful career with Capital Group, one of the world's oldest and largest investment management organisations. He will bring to the Board a detailed knowledge of global equity capital markets, extensive business leadership skills and insights into the North American market.

Mr. Kerr is currently a non-executive director with EOG Resources Inc, which is listed on the New York Stock Exchange. Mr. Kerr has notified Kerry Group plc, save as disclosed herein, that there are no other matters requiring disclosure in relation to Rule 6.1.66 (1) to (6) of the Euronext Dublin Listing Rules and under LR 9.6.13 (1) to (6) of the UK FCA Listing Rules.

Ms. Joan Garahy, having served as a non-executive director for nine years, retired from the Board of Directors effective from the conclusion of the Annual General Meeting held earlier today. Ms Garahy will be succeeded by Dr. Hugh Brady as Senior Independent Director and by Mr. Tom Moran as Chair of the Remuneration Committee with effect from 29 April 2021.

Commenting on the Board changes, Kerry Group Chairman, Philip Toomey said: "On behalf of the Group we are delighted that Michael will be joining our Board. His addition brings significant and wide-ranging business leadership and experience across global capital markets, and in particular U.S. markets, which will further strengthen the broad range of skills and experience on Kerry's Board". Commenting on Joan Garahy's retirement, Mr. Toomey said: "I would like to thank Joan sincerely for her outstanding dedication and contribution to the Group over the last nine years. Joan was an exceptional non-executive director and we wish her the very best in her future endeavours".
