27/10/2016 12:04 | Mr Bell as noted in this thread and in loads more elsewhere is currently under investigation for serious HMRC irregularities. Given it may result in heavy sentencing and confiscation of assets for Mr Bell Kellan is very much at risk from the outcome of those investigations. By shifting the loans to a company rather than personal loans has to be good for the company and assuming the loans cannot be called in then extending them out to 2022 is welcome as well. There is a reduction in the overall interest payable annually the RNS states but the 532,000 loan note being issue at 70% of par is like a ZDP so overall the payaback going to be around 12% and means 2022 will be an expensive year. Also the other 2 large loans have increased in rate to 5% from 4% but seem to have slightly different terms (one is ‘fixed’ not sure what that means for the other) , they have been extended to 2022 as well rather than 2017. The chairman states Its reduced the ‘ongoing’ So the company a little less reliant on Mr Bell short term but all these secured new loans mean very little room for the company to raise new finance from anyone else than Mr Bell or related parties. Kellan needs to grow organically therefore and nothing suggesting it is doing that at the moment easily so not sure where any value lies for a PI until next set of results or trading update. | morton2011 | |

The director disclosure this month led me to find that Mr Bell managed to lose £ 1.2 million in Human Capital Resources as per that company (Company number 05840816) statement of affairs on 12 Nov 2015 at Companies House.
