Text from RB - he's actually added £50,000 worth: https://www.nakedtrader.co.uk/ 'I bought some more Kape Tech (KAPE) after an acquisition which totally transforms it and makes it a whole lot more valuable. Indeed I liked what I saw so much in reality I bought roughly another £50,000 worth - for the website though I will use a much lesser amount as usual. The acquisition will be immediately earnings enhancing and should turn Kape into a much bigger company. Private internet access market is growing nicely and this suits Kape a lot. I think the market may soon see Kape shares are now worth a lot more than the current market valuation. As time goes on, value should keep on appearing and I would hope this is one that could have a massive upside over a year or so and they could progress up to the 200p area.'

Sharp-eyed subscribers to Small Company Share Watch might have noticed a very strong hint in the monthly edition which reached subscribers on the 12th October . The update comment on Kape , when the shares were priced at 82p , concluded with the words " An acquisition will electrify things before long " . There is no need for fellow subscribers to excoriate me for repeating this here , as it is now post-factum , i.e. after the event . However , well done to SCSW , and I'm glad that I noticed the hint . SCSW doesn't always get things right , but it was spot-on here and is generally a very good buy . Next copy of SCSW is due on 7th December , and there is bound to be an update . I shan't comment , but there's time yet to take up a subscription !

Au contraire - the shares being issued to the vendors are (1) subject to lock-ins, and (2) will incentivise Andrew Lee to make a success of the takeover. Plus a decent proportion of the consideration is coming from KAPE's own cash resources. The 90% earnings accretion arising from the transaction for next year tells us that the structure of the deal in shares, cash and loans is highly beneficial to KAPE.

The fly in the ointment is the humongous number of extra shares being issued as part of the deal, plus debt. Or perhaps it should be the elephant in the room?
