Notice of AGM

K3 Capital Group plc, a leading business and company sales specialist in the UK, is pleased to announce that the Company's Annual General Meeting will be held at TLT LLP, 3 Hardman Square, Spinningfields, Manchester, M3 3EB on Friday 18(th) October 2019 at 11.00 a.m.

In addition to the usual business of the AGM, the meeting will also address a technical breach of the Companies Act 2006 regarding payment of the February 2019 interim dividend by the Company (the "Relevant Dividend"). Whilst the Company had sufficient distributable reserves at the relevant time to cover the Relevant Dividend paid, this distribution combined with the October 2018 dividend payment exceeded the reserves stated for the Company in the last balance sheet filed at Companies House (31 May 2018).

Appropriate resolutions will be put to shareholders at the 2019 Annual General Meeting. Full details will be set out in the Circular.

This matter has no impact on K3's current trading, nor on the Group's dividend policy going forward.
