In order for this exercise to be transparent I have set the following guidelines to ensure all transactions can be traced and no misunderstandings can occur. At the conclusion of the auction and if the bid is successful, no more contributions will be accepted and the 'bidding pot' closed. Only those that have contributed cleared funds before the conclusion of the bidding will participate in the sharing of profits generated by the IP's. At the conclusion of the auction and if the bid is unsuccessful, all monies will be returned in full. I will bear any and all costs in this event. THE RISK: I intend to bid for the complete and total ownership of the Jellies IP together with any and all tangible property with which it may come. I also intend to bid for Think Entertainment's share of the Butt Ugly Martians IP together with any and all tangible property with which it may come. I have yet to receive confirmation from Mr Hardy of the exact details of the listing. Mr Hardy will not disclose the details of the recently signed distribution agreement with Indigo. The predicament of Optical Image withholding tangible property belonging to the Jellies IP has not been resolved. (Edit: added 14/9/05: Mark Hardy indicated a 'Trade Buyer' has "walked away". I am unaware of the circumstances that has led this 'Trade Buyer' to come to the conclusion that 'walking away' was the best thing to do.) Due diligence will be performed to assess these risks. 07/9/2005 20:56 | Daemonix, seem to remember you from the old days (maybe Daytrader thread or even Taxi thread), a sensible guy. The problem for this guy (MH) is that he cannot, despite several attempts (by various statements/windups), pursuade the bb members that they are barking up the wrong tree! It is simple (law-wise), if you have a consideration for legal action/recompence etc...wrt Just/NSM etc... you must (MUST) communicate with the liquidator (details have been supplied my MH). MH, has indicated , on several occasions, may only deal with issues relating to THINKPLC, from conception of the same, at this time(unless of course that very serious money is made available to overturn these matters)! In reality, the current "MH muckrakers" are totally wasting their time (the guy is in the seat by law to resolve creditors issues for Think), nothing else, thence shareholder fund split, as appropriate (Ormond Street)? btw the Ormond Steet bit is a total and utter scandal. On a lighter note, recently, I've wondered if Sir Alan Sugar may have held shares in this dog, he is donating his advertising fees (Premium Bonds), to Great Ormond Street. If so, he has replaced the promise from the rescue (cannot quite believe that he was involved, but you never know)! NB: Note for MH, I have made assumptions in law as I know it, but I have been out of practise for 4 years, so not totally up to speed. Please correct any mistakes I may have made. Hope you get a result, for yourself at lease! I am a GP in France now, have been here 2 years. If you need to chill out after this lot, I'm 40 miles from Roscoff! 07/9/2005 06:29 | Gartshore I did not have access to the web yesterday, and I am out on other things today. £30k is what I think it will take to get to the stage where we have all the initial advice sorted and have the statements of claim "settled" by a barrister so that we can progress confidently to the court. ONLY the original statement of claim is a public document as of right, so it essential that it includes everything that has been done or is relevant so that the shareholders and all interested parties can see what we are doing and where we are going - BUT it is not going to be the Book on the history of the JUST group, it is essentially the Section 110 reorganisation and the THINK deal. As I have said I, and others think that the best solution is to assign the rights to a 3rd party who will collect the resources needed for the fight and ensure that the rights remain alive outside the inevitable liquidation of THINK unless 3 people come forward to be directors. I cannot and will not hold a dead duck above water for ever. My unpaid fees are not related to that. They are the fees on the Power of Attorney that was disclosed to everyone, but that I did not take month by month as there was not enough money and I believed (still do) that I would get my fees from cash flow - but the KPMG situation is still unresolved. So like all the shareholders I put my money where my mouth was. GOLDE Some of the £30k will have to be spent on a cheap circular to them, but this time it is money for a fighting fund not a rescue fund. B14 The police authorities were notified. It is for them to decide what to do in the criminal arena. It is for the company to decide if, how and when it will act in the civil courts. That is what I was setting out in the update. | 4237 | |
