Indivior shareholders told to rebel against jailed ex-CEO's bonus

According to ISS, Thaxter left the company with unvested bonus shares worth more than US$1.5mln currently.

Indivior PLC (LON:INDV) is facing a shareholder revolt at its AGM after the company revealed it would honour the bonuses awarded to jailed former chief executive Shaun Thaxter.

A Federal Court sent Thaxter to prison for six months after he pleaded guilty to misrepresentations about the safety of the company’s opioid addiction drug Suboxone.

The bonus awards were made to Thaxter under the company’s long-term incentive plan but two leading shareholder groups, Institutional Shareholder Services (ISS) and Glass Lewis, have advised investors vote against the award.

According to ISS, Thaxter left the company with unvested bonus shares worth more than US$1.5mln currently.

ISS has questioned the remuneration committee decision to classify Thaxter as a ‘good leaver’.

“As a lead executive of the business since 2009, Shaun Thaxter is ultimately accountable for the financial and reputational harm suffered by the company in connection with the mis-selling of Suboxone,” it said.

In a report in the FT, Indivior said the awards were based on Thaxter’s years of service and the absence of any evidence of personal wrongdoing or malfeasance.

Wick Sollers, Thaxter’s lawyer, added: “We believe the determination that Mr Thaxter should be treated as a ‘good leaver’ was entirely appropriate under the circumstances of his case [that involved Massachusetts regulator MassHealth], which established that he was unaware of any wrongdoing when it occurred and authorised corrective action after he learned of the issue.”

Indivior faces the threat of a shareholder revolt over the drugmaker's decision to maintain bonus payments for its British former chief executive, who was jailed last year in a case related to the US opioid crisis. Shaun Thaxter, 53, was sentenced to six months in federal prison in the US state of Virginia last October and agreed to pay $600,000 (£432,000) in fines and forfeiture, after pleading guilty in June to federal charges related to Indivior's Suboxone Film, used to help reduce withdrawal symptoms in recovering opioid addicts. (MT Newswires) -- Indivior (INDV.L) on Wednesday said there are now new financial or legal obligations from the recently announced state settlement deals involving its opioid addiction therapy Suboxone film.

The pharmaceutical company said the settlements were "administrative in nature" and were part of the criminal and civil resolution between Indivior, the states and the federal government in July 2020.

Indivior noted that it has no further comment on the matter.

(Alliance News) - Indivior PLC on Wednesday said recent US state filings made in relation to settlements are just "administrative in nature" and reflect previously struck agreements.

The pharmaceutical firm noted several US states have filed announcements on agreements with Indivior in relation to its Suboxone film.

"The various state settlement agreements being announced this week are administrative in nature, and simply formalize the individual state settlements which were previously agreed to in principle as part of the July 2020 criminal and civil resolution between Indivior and the states," the company said.

"As such, there is no new financial or legal obligation that has arisen. The company was pleased to put those issues behind it in 2020 and remains focused on realizing its patient-focused Vision and fulfilling its compliance commitments."

In mid-July, Indivior agreed to part with USD600 million to resolve fraud charges with the US Justice Department in relation to Suboxone.

Indivior shares were 2.5% higher at 146.20 pence each in London on Wednesday morning.

But not with my vote1 By taking the fall as the ultimate boss he saved shareholders a lot of money and grief. The decision and sentencing handed down clearly highlighted this at the time.

Last year the chief executive of Indivior was jailed after a investigation in the United States into the marketing of the drugs company’s blockbuster opioid
addiction treatment.

Shaun Thaxter is due to be released next month, but attempts by the British-born businessman to begin to rebuild his life and career are facing an instant challenge. Indivior is braced for a possible shareholder revolt over Thaxter’s exit pay and “good leaver” status at May’s annual meeting.

Thaxter, 53, was sentenced in October to six months’ imprisonment after he pleaded guilty in June to “causing the introduction into interstate commerce” of Suboxone Film, which had misbranded safety information. He stepped down from the FTSE 250 company days before his guilty plea, with his “life’s work” in tatters.
