On 27th March, Whitman Howard's note on acquisition of Infracast increased their target price to 220p. IMHO IMO looks cheap for a growing technology stock. Topped up.

At a guess, i would say it's Brown Shipley & Co Limited with 2,490,238 selling, four of the large trades printed so far are pretty close, leaving a round number.

Agree with today's comments, the cross selling aspect of the acquisition is an area that could be applied to other (sector related) Tosca companies .

Still no holdings note as yet with another 400k or so traded today.

Finally an acquisition! At 30th Sep IMO had £17.9m of cash and does not pay a dividend. In H1 operating cash generated was £6.4m representing cash conversion of 122%. IMO is a quality play on mobile phone usage...surely a cheap growth stock? I am so pleased they are using some of their cash. Anybody think the share price is expensive?

"IMImobile buys into banking business
Monday 27 March 2017

Interesting deal announced today by IMImobile, the cloud communications software and solutions provider. After recent success with Telenor, they are now paying £8.2m to buy Infracast, a Reading-based, 31-person business that has been successful in building business into several tier one banks.

logoInfracast has developed a middleware platform to provide secure and resilient management of mobile messaging in the financial services sector and for optimising messaging volumes into the MNO’s infrastructure. Banks are placing huge bets on getting their mobile communications right to improve customer engagement, reduce the risk of fraud and at the same time enable cost reductions and branch closures. The British Banking Association reported a 50% rise in banking app logins over mobile phones in their latest report, a growing rapidly proportion of customers banking through their mobile phones and a massive shift towards payments executed over mobile.

In the year to May 2016, Infracast had generated turnover of £10.4m, gross profit of £3.1m and EBITDA of £0.4m and had subsequently “enjoyed strong growth”. The IMImobile management say that the deal should be earnings enhancing in the year to March 2018. The Infracast top management will join IMImobile’s senior management team.

The Infracast deal looks to be right on the money in terms of traction with the banking sector, particularly as the company’s relationship with Telefonica had opened up business with a number of top banks. After the deal, the enlarged IMImobile will be providing services to four of the top five UK retail banks. The portfolios of the two companies also appear complementary, and as the banks increasingly explore the use of cloud to provide additional services and better user experience to their account holders, this deal looks as if it could open some more doors for IMImobile in the sector."

Nice - an earnings-enhancing acquisition with 90% recurring revenues:



£8.2m initial consideration plus £8.8m maximum deferred paid for £10.4m turnover plus £0.4m historic EBITDA to May'16, with "strong growth" since those figures, so seems good value based on say £0.7m-£1m EBITDA this year and the deferred consideration based entirely on post-acquisition performance.

It looks to be 02's first foray into Ai driven chat bots, in other-words self learning.

In essence there are two types, menu driven bot which responds using a tree like hierarchical structure and Ai deepening its repertoire of responses based on customer interactions.

Good posts Schroder, cheers. As a newbie, can you explain the significance of the O2 report in the Telegraph? I know IMO have considerable business with O2, so are you saying that this would increase customers' mobile connectivity/usage, and therefore benefit IMO?

I have bought into these recently in part due to the possibility of corporate action around Tosca. Briefly, they took InternetQ private last year and potentially need an exit, my thoughts are some sort of tie up with IMI and/or RhythmOne where they also have a large holding.

Jay (current CEO) used to work as MD for Spark Ventures (now Gresham House, 2nd largest share holder) around the time of OpenX investment/exit.



Admittedly its a bit of a long shot, but perhaps some common ground between the CEO's should things move in that direction.

Hi Rivaldo,

Been in these a while - strong product set, in a growing market, with clear rationale for customers to purchase. Excellent geographic spread, many blue chip brand clients. Now that they have (recently) cleaned-up the previously confusing shareholder structure they are in good position for a re-rating. They have accumulated cash on the B/S so looking either to further acquisitions or declaration of a maiden dividend that could be the trigger.
