This includes, but is not limited to, satisfying the Warrant Conditions (as defined below), which involves the Company within three months of the date of entering into the Financing Agreement lodging with the UKLA for its comments a prospectus Have they lodged the the prospective with the UK listing authority? Was this RNS'd 2. In return for the draw-down of each Tranche, the Company will issue notes ("Notes") to the Investor which will attract interest at the rate of 5% per annum and each Note will have a duration of 12 months from the date of its issue How many Notes? 3. The Financing Agreement also provides for warrants to be attached to the Notes. The number of Warrants to be attached to the Notes shall be calculated as follows: for each Note the number of Warrants shall be 5,000 divided by 90% of the lowest closing volume-weighted average price of Ordinary Shares ("VWAP") during the five trading days immediately preceding the date of issue of the Warrants. So each Notes(Number not clear) will carry (at today's prices) 5000/(0.9*0.00085) = approx 6.5m shares 4. All Warrants are freely exercisable for a period of five years from their date of issue and are freely transferable. The exercise price of the Warrants will be equal to the higher of the value price ("Value Price") (calculated as 90% of the lowest daily VWAPs of the Ordinary Shares during the five trading days immediately preceding the exercise of the Warrants) and the nominal value of the Ordinary Shares on the date of exercise of the Warrants. Should the Value Price be lower than the nominal value of the Ordinary Shares, the Company shall pay a fee to the Investor based on the difference between the two and which can be settled by the issue of further Ordinary Shares. Well the value price is well below the nominal value price (at present) so that means more shares issued. 5. Further Ordinary Shares are to be issued to the Investor once the Warrant Conditions have been satisfied. The number of Ordinary Shares to be issued will be calculated on the basis of 80% of the lowest daily VWAPs of the Ordinary Shares during a five trading days period relating to the relevant date and then multiplied by the relevant amounts, which can only be determined once the VWAPs are calculated and so it is not possible at this point in time to determine the dilutive effect this will have. So yet more shares issues, and we don't know how many as the term relevant amounts is very vague. So there it is in black and white, you will be diluted, they need to give EHGO £1.375m +5% back, it looks like these will be in shares and warrants.
