Great to see Egle in that PA interview. She looks like she knows her stuff and so far two APEC contracts looks very promising. She appears to be delievering and so does Mo and the rest of the team. Let's hope it continues.

The LTIP could have arisen out of concerns, on Mo's part, that the company would be sold in the relatively near future. If Mo thinks this is going to happen, say in the next 12 months, then what is the incentive for him to stay, having just delivered an impressive set of results for 2022? Might he not be better off jumping ship at this point, leveraging his 2022 results, rather than risk his performance record if there is a lot of internal uncertainty about the future? On the other hand if he can see a big personal payout for delivering a sale of the company while keeping the business on track for 2023 organic expectations just in case the sale can't be delivered, then the personal risk-reward for him in staying is tilted much more towards staying.

.... and I suspect there you have it.

If paid as a bonus, inland revenue will want 45% (or more)

But carefully crafted share "incentives", with allowances/ISA/Sipp etc. the marginal tax position could be quite different

11p maybe. But If it ensures we retain Mo's services and we continue on the same path turning out contracts and building cash balances then so be it. Don't forget as an added extra mo is experienced in sell offs and mergers and has had dealings with the other side of the pond. All a bonus with sprinkles on top.

If he can continue to run the biz as a pro, keep the contracts coming in and/or a potential offer then he can have what he wants especially if the share price is on an upwards trend

I think you are right. I had assumed the award price was the same as the reference price for TSR. If the award price is nominal, then it only strengthens the point I am making about this being a windfall. Instead of £385k at 11p/share, it will be considerably higher, for example £1.1m if the award price is just 1p/share.
