If he can continue to run the biz as a pro, keep the contracts coming in and/or a potential offer then he can have what he wants especially if the share price is on an upwards trend

I think you are right. I had assumed the award price was the same as the reference price for TSR. If the award price is nominal, then it only strengthens the point I am making about this being a windfall. Instead of £385k at 11p/share, it will be considerably higher, for example £1.1m if the award price is just 1p/share.

The LTIP looks to be as is, free money in terms of performance. It's just a big bonus coming down the line for the CEO. However, a key word used is "retain", being that Mo is, without question, delivering the business, are you all happy to see him leave over a relatively small sum of money or would you rather such a quality hire was incentivised to stay?

Get a sense of perspective.

The LTIP looks like a guaranteed win for "Mo" with full vesting based on a total share return of 20.22pence on the third anniversary, ie. share price and any dividends paid during those three years to add up to that figure for full vesting - doesn't look too demanding does it?

By the way, I don't think he pays 11p / share for them they are at "nominal cost" I believe.

Sorry, I disagree. In my view, options should be issued at the prevailing share price so that the option holder and all other share holders are equally rewarded by improvements in company performance.

I worked in the pharma industry for many years, and options were always granted at the prevailing share price.

Issuing at 11p simply creates a windfall payment and makes a mockery of the performance targets. In three years time, the CEO could pocket circa £400k even if the share prices was the same as today.

I am not sure that this LTIP award ia aligned with shareholders interests. If I read this correctly, then it will pay out in three years if the TSR is 22.5% higher than the 11p award price. Three issues for me.

(i) Why 11p? The share prices was around 16p when the CEO joined the company in Feb 2022, at a similar level to today. 11p is close to the lowest price we have seen since the CEO joined.
(ii) Where is the incentive to grow the company beyond where we are today? A 22.5% increase on 11p is under 13.5p, something that has been achieved already. Incidentally, 10% per annum TSR growth over three years is a 33% increase over index year, so not sure where 22.5% comes from
(iii) I am assuming the TSR will include the distribution that the company has said they intend to make at year end.

Based on the current 16p share price, this award is already worth £385k. That is without any increase in TSR from the date the CEO joined (distribution pending).

Had the share price been 11p when Mo joined, then I could understand the approach.

Great to see that this is a new client as well as the large sum involved.

Finncap reiterate their 35p target for the core business (not including the non-core activities which they've valued at a further 9p per share).

They note that "with c.95% of forecast FY 2023 revenues already estimated to be contracted, and positioned strongly to meet or beat FY 2023 forecasts, this contract builds further revenue visibility into 2024, which we estimate now stands at c.35% of
forecast revenues (ie. c.£20m)"
