23/6/2003 13:46 | Deutsche Bank (& subsidiaries) announced a holding of 4.5% last week. Don't know if they're connected to Deutsche Asset Management. It would certainly make sense if they are. In any event I don't see Health Club getting 90% acceptance. They'll be lucky to get 80% I think. Nevertheless if they get over 75% they could declare the offer unconditional and proceed to delist the shares. Could be close as to whether or not they reach even that level. Certainly the more I think about it the more of a con this seems to be. | matto | |

However I would remind you that some brokers require a positive rejection rather than inaction otherwise the nominee holdings may be voted for acceptance and undermine your best intentions. 19/6/2003 11:00 | hotfinance14 - I haven't replied before because I'm not in a position to advise anyone what to do but jennie8's posting is clearly misleading. I am a holder and I haven't yet accepted the offer. I probably won't accept the offer until they announce it is unconditional - on the off chance that in order to get the percentage they want they may increase the bid price. Once the offer becomes unconditional they should allow anyone who hasn't yet accepted the offer the chance to do so - which I will take up - and the MM price should rise to above 25p to reflect this. I expect that they will extend the period for acceptance for another week when they next announce. I do not know what price we will see if this deal does not go through. | matto | |

17/6/2003 15:15 | I have to admit that in simple terms they only need 50% of the total shareholding to have control of the company and they are can pass ordinary resolutions with this majority. However, for a deal to become unconditional, a company would seek (as in this case) acceptances of the offer for 90% of the issued share capital. At this point the remaining 10% can be purchased compulsorarily. However, this 90% figure can be reduced, and it may be reduced as low as 75% (the majority needed to pass special resolutions.) If the deal goes through and they have more than 75 and less than 90%, then the remaining shares will be delisted but the holders will still be shareholders of the company having rights to dividends | matto | |
