GENERAL TEXT AMENDMENT

The following amendments have been made to the 'Issue of Equity' announcement released on 9 January 2020 at 15:05 under RNS No 3490Z.

The issue price per Share was 171.4 pence, in line with the mid-market price prevailing at the time of issue, thereby raising gross proceeds of GBP17.14m.

Issue of Equity

The Board of HICL Infrastructure PLC (the "Company") is pleased to announce that, in response to ongoing investor demand, it has issued for cash 10,000,000 Ordinary Shares of 0.01 pence each in the Company ("New Ordinary Shares") by way of non-pre-emptive tap issuance. The issue price per Share was 171.4 pence, in line with the mid-market price prevailing at the time of issue, thereby raising gross proceeds of GBP17.14m.

The net proceeds of the issue will be used for general corporate purposes.

Application will be made to the Financial Conduct Authority for admission of the New Ordinary Shares to the premium segment of the Official List and to London Stock Exchange plc for admission to trading of the New Ordinary Shares on its main market for listed securities (the "Main Market"), (together, "Admission"). It is expected that Admission will become effective, and that dealings in the New Ordinary Shares on the Main Market will commence, on or around 14 January 2020.
