Fundraising to raise up to approximately GBP60.0 million

Helios, the unique investment vehicle which acquires and consolidates underwriting capacity at Lloyd's, announces a conditional placing, subscription and open offer (the "Fundraise") to raise up to approximately GBP60.0 million.

Funds under management of, or associated with, ILS Capital Management Limited and clients of Hudson Structured Capital Management Limited have conditionally agreed to subscribe for, in aggregate, GBP20.8 million and GBP20.0 million, respectively, at GBP1.60 per share. The Directors believe that the support from such knowledgeable insurance players endorses the current business model and echoes their view that pricing in the insurance market is attractive.

Transaction Highlights

The fundraising

- Conditional agreements to subscribe have been received to raise approximately GBP43.8 million through the issue of 27,375,000 new ordinary shares ("New Ordinary Shares") in aggregate, to investors at at GBP1.60 per share (the "Issue Price") subject to Shareholder approval ("Subscription").

- Conditional placing to raise up to GBP13.2 million through the issue of up to 8,250,000 New Ordinary Shares, in aggregate, to new and existing investors at the Issue Price (the "Placing Shares") subject to approval of the Company's shareholders ("Shareholders")("Placing").

- The Placing is being conducted by way of an accelerated book build, with the book build to commence immediately following this announcement (the "Book Build"). Shore Capital is acting as Nominated Adviser, Broker and Bookrunner in relation to the Placing. To bid in the Book Build, eligible participants should communicate their bid by telephone or in writing to their usual sales contact at Shore Capital.

- Proposal to raise a further GBP3.0 million by way of a conditional open offer of 1,861,787 New Ordinary Shares ("Open Offer Shares") at the Issue Price subject to Shareholder approval ("Open Offer").

- The Issue Price represents a discount of approximately 17.9 per cent. to the closing price of GBP1.95 per share on 8 March 2020 and a premium of 6.0 per cent. to the Company's pro-forma adjusted net asset value of GBP1.51 per share as at 30 June 2020, announced on 16 February 2021.

- The New Ordinary Shares issued in the Fundraise are expected to commence trading, subject to shareholder approval, on 9 April 2021.

Use of proceeds

- The Company intends to accelerate its LLV acquisition strategy with a targeted campaign of further LLV acquisitions over the next 12 months. It has recently issued approximately 1,000 letters to owners of LLVs asking them whether they would be interested in receiving an offer from the Company to buy their LLV and has received, so far, approximately 80 expressions of interest from LLV owners in response to this initial letter.

- Primarily, the Company will use the net proceeds of the Fundraise for potential future acquisitions of LLVs, but has a flexible and adaptive business plan to optimise the deployment of the net proceeds to finance an increase in the capacity from pre-emptions, to increase the retained capacity by Helios and to participate in capacity auctions.

Dividend policy

- The Company is implementing a new dividend policy where it intends to pay a sustainable annual ordinary dividend, expected to be 3 pence per ordinary share, supplemented by special dividends from time-to-time. The annual dividend is expected to be paid shortly after the annual general meeting at which the necessary shareholder resolution is passed. The Company's annual general meeting typically is held in late June each year.

The above transaction highlights and the summary announcement below should be read in conjunction with the full text of the announcement set out below and the appendix at the end of this announcement (the "Appendix").

General Meeting

A circular, containing details of the Fundraise, is expected to be posted to Shareholders on or around 9 March 2021, and will be available on the Company's website, along with a form of proxy to vote at a general meeting expected to be convened on 1 April 2021 (" General Meeting ") and (for qualifying shareholders) an application form for the Open Offer (the "Circular"). The Placing, Subscription and Open Offer are conditional on Shareholders voting in favour of certain Resolutions at the General Meeting.

The Placing

Helios has entered into a placing agreement (the "Placing Agreement") with Shore Capital which is acting as Nominated Adviser, Broker and Bookrunner in relation to the Placing. Pursuant to the Placing Agreement, Shore Capital has agreed to use reasonable endeavours to place the Placing Shares with certain new and existing institutional and other investors. The Placing is not underwritten. Further details of the Placing Agreement can be found in the terms and conditions of the Placing contained in the Appendix to this announcement (which forms part of this announcement).

The Placing is subject to the terms and conditions set out below. Shore Capital will commence a book building process in respect of the Placing (the "Book Build"), which will start with immediate effect following the release of this announcement. The Placing Shares will, when issued, be credited as fully paid and will rank pari passu with the Existing Ordinary Shares in the capital of the Company including the right to receive all future dividends and distributions declared, made or paid by reference to a record date falling after their issue. The issue of the Placing Shares is subject to the authorities to be granted at the General Meeting which is expected to be held on 1 April 2021.

The timing of the closing of the Book Build and allocations shall be at the discretion of the Company and Shore Capital. However, the Book Build is expected to close no later than 7.00 a.m. on 9 March 2021. Members of the public are not eligible to participate in the Placing.

A further announcement will be made following the close of the Book Build.

By choosing to participate in the Placing and by making a verbal offer to acquire New Ordinary Shares to be issued under the Placing, investors will be deemed to have read and understood this announcement (including the Appendix) in its entirety and to be making such offer on the terms and subject to the conditions in this announcement, and to be providing the representations, warranties and acknowledgements contained in the Appendix.

Application for admission

A n a pplication will be made for the admission of the Placing Shares , Subscription Shares and Open Offer Shares to trading on AIM and dealings in the Placing Shares and the Subscription Shares are expected to commence at 8.00 a.m. on 9 April 2021. The Placing Shares , Subscription Shares and Open Offer Shares when issued, will rank pari passu with the Existing Ordinary Shares.

FURTHER INFORMATION

The following is derived from the Company's Circular containing details of the Fundraising, which is expected to be posted to Shareholders on 9 March 2021 along with a Form of Proxy to vote at a General Meeting expected to be convened on 1 April 2021 and (for Qualifying Shareholders) an Application Form for the Open Offer. The following information is subject to change.

   1.             Introduction 

The Company has grown successfully by implementing its strategy of building a fund of capacity on the better syndicates at Lloyd's by acquiring limited liability vehicles (LLVs). In November 2020, the Company raised equity amounting to GBP18.6m to enable the Company to increase significantly its underwriting capacity at Lloyd's.

In order to take advantage of further opportunities for growth and shareholder value enhancement, the Company intends to accelerate this strategy with a targeted campaign of further LLV acquisitions over the next 12 months.

Fundraising

The Company is proposing to raise up to approximately GBP60.0 million at the Issue Price pursuant to the Placing and Subscription and will be carrying out an Open Offer to raise gross proceeds of up to an additional approximately GBP3.0 million. The Open Offer provides Qualifying Shareholders with an opportunity to participate in the Fundraising at the Issue Price.

The Issue Price of GBP1.60 per New Ordinary Share represents an approximate 17.9 per cent discount to the Closing Price of GBP1.95 per Ordinary Share on the Latest Practicable Date and a premium of 6.0 per cent to the ANAV as at 16 February 2021.

It is intended that the primary use of the net proceeds of the Fundraise will be to make Acquisitions. The Company has a flexible business model and other potential uses for the net proceeds of the Fundraising are set out below.

Shareholder approval is being sought at the General Meeting in respect of the authorities required to implement the Fundraising and to enable the Company to issue Consideration Shares to sellers of LLVs over the next 12 months, further details of which are set out below. The Fundraising (and the additional share authorities to accelerate the acquisition of LLVs over the next 12 months) is conditional, amongst other things, on the passing of the Resolutions by the Shareholders at the General Meeting.

Acquisition Strategy

The Company has recently issued approximately 1,000 letters to owners of LLVs asking them whether they would be interested in receiving an offer from the Company to buy their LLV. Any such offer would be subject to contract and due diligence, and would be based on the Humphrey Business Valuation Methodology with the consideration satisfied in cash and/or through the issue by the Company of Consideration Shares credited as fully paid. Each Acquisition would, in addition, be subject to Lloyd's consent to the change of control of the LLV. To avoid diluting the ANAV for the then existing Shareholders, share based consideration will not be used in circumstances where the value of the Consideration Shares would be issued at less than 95% of the then prevailing ANAV (calculated on a per Ordinary Share basis).

The Company has received, so far, approximately 80 expressions of interest from LLV owners in response to this initial letter and these LLVs have, in aggregate, underwriting capacity in excess of GBP100m. The process of preparing the necessary valuations and carrying out the due diligence is on-going. The Company expects to be in a position to make offers shortly.

Helios' business strategy, relevant to Shareholders, new investors and sellers of LLVs electing to receive Consideration Shares, is to:

-- provide an income generating investment of Lloyd's underwriting capacity thereby allowing returns in capital value and dividend income for Shareholders;

-- select a capacity portfolio of leading syndicates at Lloyd's which has recently outperformed the Lloyd's market and the results of an average Lloyd's members agents' portfolio;

-- deploy risk management tools to improve returns and to mitigate the effect of losses and solvency funding demands that are not necessarily available to smaller participants on the same terms;

-- provide a cost efficient platform for participation at Lloyd's, absent LLV profit commission potentially payable to Lloyd's members' agents and to take advantage of increased scale and, therefore, cost efficiencies; and

-- participate at Lloyd's through an investment in a tradeable AIM quoted security which also attracts Business Property Relief for IHT purposes.

The Company has completed 43 LLV acquisitions over the last 8 years.

2. Background to and reasons for the Fundraising, use of proceeds, and the Acquisitions

Through the extensive experience of the management team, Helios has built over time a diversified portfolio of insurance risk with top performing syndicates, making it accessible via an investment in publicly quoted shares. The Helios capacity portfolio is composed, at its core, of some of the better syndicates at Lloyd's which have freehold tenure complemented by the addition of annual tenancy capacity if supply is available and market conditions are judged to offer a sound commercial opportunity to add capacity. Helios has a track record of acquiring LLVs with this freehold syndicate capacity, of which there are a limited number of syndicates at Lloyd's. In addition, pre-emptions are expected to provide reliable growth in capacity held in high quality syndicates as these pre-emptions become available across market cycles going forward.

Helios' executive management team have significant holdings in the Company, ensuring a strong alignment with the Shareholders' interests.

Helios' strategy to date has been to build a fund of Lloyd's underwriting capacity through a steady stream of acquisition and consolidation of acquired LLVs. The Company gives Shareholders access to a diversified portfolio of (re)insurance risk which has substantially outperformed the broader Lloyd's market. The business model allows for a significant increase in the Company's scale without having a meaningful impact on its cost base. Quota share reinsurance is utilised to reduce the exposure of the portfolio and assist in the financing of the required underwriting capital.

This strategy has resulted in the Company having GBP110 million of underwriting capacity for the 2021 year of account (an increase of 60% over the Company's 2020 year of account).

For the last four years (2017 - 2020), the insurance market has generally underperformed due to a poor rating environment and significant market losses from natural catastrophes and, more recently, COVID-19 related exposures. Currently the rating environment in Lloyd's and the general (re)insurance market is improving. Since 1 January 2018, the premium rates charged by the syndicates supported by the Company have increased by approximately 30 per cent, thereby improving underwriting margins and the prospects of profitable underwriting. The Company's strategy to accelerate the acquisition of LLVs will increase the Company's exposure to these positive trends.

In addition, the Company currently cedes approximately 47 per cent of its 2021 portfolio to quota share reinsurers, equating to approximately GBP52 million of capacity. Due to the improving market conditions, the Board has the option of retaining a larger proportion of any additional capacity underwritten and reduce capacity reinsured going forward into the 2022 underwriting year.

Given these clear opportunities for growth and shareholder value enhancement, the Company proposes to raise, in aggregate, up to approximately GBP60.0 million through the issue of up to 8,250,000 new Ordinary Shares pursuant to the Placing and 27,375,000 new Ordinary Shares pursuant to the Subscription, and up to 1,861,787 new Ordinary Shares pursuant to the Open Offer, with each new Ordinary Share being issued at the Issue Price. In addition, the Company is seeking authority to issue new Ordinary Shares for cash representing approximately 5% of the post Admission issued share capital of the Company over the next 12 months in connection with the Acquisitions, at no more than a 5% discount to the then current Closing Price, calculated on an average five day trailing basis.

The Company is in addition seeking authority to issue new Ordinary Shares (representing approximately 20% of the post Admission issued share capital of the Company) as consideration for Acquisitions over the next 12 months period, at a price of no lower than a 5% discount to the then 5-day trailing share price and no lower than 95% of the then ANAV (calculated on a per Ordinary Share basis).

The Company will primarily use the net proceeds of the Fundraise for the Acquisitions but has a flexible and adaptive business plan to optimise the deployment of the net proceeds to finance an increase in the capacity from pre-emptions, to increase the retained capacity by Helios, and to participate in capacity auctions.

   3.             Trading Update 

Helios provides a limited liability direct investment into the Lloyd's insurance market and is quoted on AIM (ticker: HUW). Shareholder returns are generated primarily from the underwriting returns on the capacity portfolio, as well as reinsurance commissions and by acquiring LLVs at discounted prices based on Humphrey's valuations and reflecting market conditions and liability for deferred tax. The Lloyd's capacity is a significant part of the value of the business so movements in auction prices can affect shareholder value.

There was a significant increase in profitability during 2019 as the value of the capacity fund increased during the year and the Company acquired a number of LLVs at such discounted prices, giving rise to negative goodwill being recognised in the profit and loss account. At the start of 2020, the insurance market was at the early stages of a necessary market correction. Since then, the COVID-19 pandemic has generated a level of dislocation and uncertainty in the global economy and markets which has demonstrably accelerated a pronounced re-rating and improvement in the pricing of many of the (re)insurance products underwritten at Lloyd's. The COVID-19 pandemic has impacted the whole insurance industry as a loss event. Whilst it is too early to comment on total global insured losses from this event, uncertainty still remains as this is an ongoing event. The windstorm losses in the second half of 2020 and an unusually high level of frequency in non-natural catastrophe specialty losses throughout the year will have affected the results of the syndicates within the Company's portfolio. These factors will have affected the results of the syndicates supported and it is too early to estimate their impact on the underwriting result of the Company's portfolio for 2020 . It is not expected that the ANAV for 31 December 2020 will be materially different from the pro-forma ANAV per share announced on 16 February 2021 of GBP1.51.

     4.             Details of the Fundraising 

Details of the Placing

The Company proposes to raise up to approximately GBP13.2 million (before expenses) through a placing of up to 8,250,000 New Ordinary Shares at GBP1.60 per share.

The Placing has not been underwritten and is conditional, inter alia, upon:

   a)     the passing, without amendment, of Resolutions 1 to 3 at the General Meeting; 

b) the Placing Agreement becoming unconditional in all respects (save in respect of the condition in respect of Admission having occurred) and not having been terminated in accordance with its terms; and

c) Admission occurring by not later than 8.00 a.m. on 9 April 2021 (or such later time and/or date as the Company and Shore Capital may agree, not being later than 30 April 2021).

Accordingly, if any of such conditions are not satisfied or, if applicable, waived, the Placing will not proceed.

Details of the Subscription

The Company has received conditional agreements to subscribe for approximately GBP43.8 million (before expenses) through the issue of 27,375,000 New Ordinary Shares at GBP 1.60 per share, pursuant to the Subscription.

The Subscription has not been underwritten and is conditional, inter alia, upon:

   a)     the passing, without amendment, of Resolutions 1 to 3 at the General Meeting; 

b) Admission occurring by not later than 8.00 a.m. on 9 April March 2021 (or such later time and/or date as the Company and Shore Capital may agree, not being later than 30 April 2021).

Accordingly, if any such conditions are not satisfied or, if applicable, waived, the Subscription will not proceed.

Details of the Open Offer

The Open Offer provides an opportunity for all Qualifying Shareholders to participate in the Fundraising by subscribing for their respective Open Offer Entitlements. Pursuant to the Open Offer, Qualifying Shareholders will be given the opportunity to subscribe for 1 Open Offer Share for every 18 Existing Ordinary Shares held on the Record Date.

Qualifying Shareholders applying for their Open Offer Entitlements in full may also apply, under the Excess Application Facility, for Excess Shares in addition to their Open Offer Entitlements as described below.

Assuming that the maximum number of Open Offer Shares are allotted and issued pursuant to the Open Offer, the Open Offer would raise gross proceeds of GBP2,978,859.20. The Open Offer is not being underwritten.

The Issue Price represents a discount of approximately 17.9 per cent to the Closing Price of GBP1.95 per Ordinary Share on the Latest Practicable Date.

Open Offer Entitlements

Qualifying Shareholders are invited, on and subject to the terms and conditions of the Open Offer, to apply for any number of Open Offer Shares up to their Open Offer Entitlement at the Issue Price. Qualifying Shareholders have an Open Offer Entitlement of:

1 Open Offer Share for every 18 Existing Ordinary Shares

registered in the name of the relevant Qualifying Shareholder on the Record Date.

Entitlements under the Open Offer will be rounded down to the nearest whole number and any fractional entitlements to Open Offer Shares will be disregarded in calculating Open Offer Entitlements.

The aggregate number of Open Offer Shares available for subscription pursuant to the Open Offer will not exceed 1,861,787 Open Offer Shares.

Qualifying Shareholders who apply for any or all of their Open Offer Entitlement will be allocated with the number of Open Offer Shares validly applied for, subject to the Open Offer becoming unconditional.

To the extent that valid applications are not received in respect of the Open Offer Shares under the Open Offer, such Open Offer Shares may be allocated to Qualifying Shareholders to meet any valid applications under the Excess Application Facility.

Excess Application Facility

Qualifying Shareholders who have taken up their Open Offer Entitlement in full may apply to subscribe for Excess Shares using the Excess Application Facility. Qualifying Non-CREST Shareholders wishing to apply to subscribe for Excess Shares, may do so by completing the relevant sections on the Application Form. Qualifying CREST Shareholders who wish to apply to subscribe for more than their Open Offer Entitlements will have Excess CREST Open Offer Entitlements credited to their stock account in CREST and should refer to the Circular for information on how to apply for Excess Shares pursuant to the Excess Application Facility.

The Excess Application Facility will comprise the Open Offer Shares that are not taken up by Qualifying Shareholders under the Open Offer pursuant to their Open Offer Entitlements. Applications under the Excess Application Facility will therefore only be satisfied to the extent that other Qualifying Shareholders do not apply for their Open Offer Entitlements in full. Qualifying Shareholders can apply for any number of Excess Shares under the Excess Application Facility, although if applications exceed the maximum number available, the applications will be scaled back on a pro rata basis or otherwise at the discretion of the Directors. Excess monies in respect of applications which are not met in full will be returned to the applicant (at the applicant's risk) without interest as soon as practicable thereafter by way of cheque or CREST payment, as appropriate.

Conditionality

The Open Offer is conditional, inter alia, upon the following:

   a)     the passing, without amendment, of Resolutions 1 and 2 at the General Meeting; 

b) the Placing Agreement becoming unconditional in all respects (save in respect of the condition in respect of Admission having occurred) and not having been terminated in accordance with its terms; and

c) Admission occurring by not later than 8.00 a.m. on 9 April 2021 (or such later time and/or date as the Company and Shore Capital may agree, not being later than 30 April 2021).

If the conditions set out above are not satisfied or waived (where capable of waiver), the Open Offer will lapse and any Open Offer Entitlements and Excess CREST Open Offer Entitlements admitted to CREST will, after that time and date, be disabled and application monies under the Open Offer will be refunded to the applicants, by cheque (at the applicant's risk) in the case of Qualifying Non-CREST Shareholders and by way of a CREST payment in the case of Qualifying CREST Shareholders, without interest, as soon as practicable thereafter.

Placing and Open Offer Agreement

The Company has entered into a placing and open offer agreement with Shore Capital dated 8 March 2021, pursuant to which, Shore Capital agreed, inter alia, to use its reasonable endeavours to procure subscribers for new Ordinary Shares as agent for the Company at the Issue Price per share.

Application for Admission

Application will be made to the London Stock Exchange for the New Ordinary Shares to be admitted to trading on AIM. Admission of the New Ordinary Shares is expected to take place, and dealings on AIM are expected to commence, at 8.00 a.m. on 9 April 2021 (or such later times and/or dates as may be agreed between the Company and Shore Capital). No temporary documents of title will be issued.

The New Ordinary Shares will, with effect from Admission, rank pari passu in all respects with the Existing Ordinary Shares and the New Ordinary Shares will carry the right to receive all dividends and distributions declared, made or paid on or in respect of the Ordinary Shares after Admission.

   5.            Effect of the Fundraising 

Immediately following Admission, the New Ordinary Shares would together represent approximately 52.8% per cent of the Enlarged Share Capital (assuming the Open Offer is subscribed in full and no Consideration Shares have been issued).

Neither Nigel Hanbury or Arthur Manners (Directors) will be acquiring New Ordinary Shares in the Open Offer given their existing considerable investments in the Company. This will therefore provide for a more substantial number of Excess Shares to be available to Qualifying Shareholders under the Excess Application Facility.

   7.            General Meeting 

The General Meeting, notice of which will be set out at the end of the Circular, is to be held at 12 noon on 1 April 2021 at Hill Ash Farm, West Harting, Petersfield, Hampshire, GU31 5NY. Due to the need to observe the UK Government's current guidance on social distancing and in light of the laws restricting individuals' ability to meet with others to help prevent the spread of COVID-19, this General Meeting will be held behind closed doors. Mindful of the new measures and the challenges this presents, the Board will ensure a quorum is present but regrettably no additional Shareholders will be able to attend the General Meeting. This is essential to ensure the General Meeting's proper conduct and safe operation. At present, the Company's articles of association do not permit general meetings to be held virtually via video link.

The General Meeting is being held for the purpose of considering and, if thought fit, passing the Resolutions set out in full in the Notice of General Meeting, as summarised below:

-- Resolution 1 is an ordinary resolution to grant the Directors authority to allot new Ordinary Shares for the purposes of the Fundraising and the Acquisitions.

-- Resolution 2 is conditional on the passing of Resolution 1. Resolution 2 is a special resolution which disapplies the statutory pre-emption rights in respect of the allotment of the New Ordinary Shares to be allotted pursuant to the Fundraise.

-- Resolution 3 is conditional on the passing of Resolution 1. Resolution 3 is a special resolution which disapplies the statutory pre-emption rights in respect of the allotment of new Ordinary Shares (representing approximately 5% of the post Admission issued share capital of the Company) to be allotted by the Board for cash, to fund Acquisitions over the next 12 months.

-- Resolution 4 is conditional on the passing of Resolution 1. Resolution 4 is a special resolution which disapplies the statutory pre-emption rights in respect of the allotment of additional Ordinary Shares (representing approximately 20% of the post Admission issued share capital of the Company) to be issued to sellers of LLVs at a value per Ordinary Share that is (i) no lower than the average 5-day trailing Closing Price of the Company's Ordinary Shares; AND (ii) no lower than 95% of the then ANAV, calculated on a per Ordinary Share basis, to fund Acquisitions over the next 12 months.

If Resolutions 1 to 3 are not passed by Shareholders, the Fundraising will not complete and the Acquisitions currently anticipated will not be able to complete. Shareholders would not then be able to take advantage of the increased premium rates and hardening market.

   9.            Dividend Policy 

The Board aims to manage actively the capital of the Group to generate an attractive risk-adjusted total return for Shareholders. It recognises the importance of returns to Shareholders and intends to pay a sustainable annual ordinary dividend expected to be 3 pence per Ordinary Share supplemented by special dividends from time-to-time. Dividends will be linked to past performance and future prospects. Special dividends are expected to vary substantially in size and in timing. The Board may cancel the payment of any dividend between declaration and payment for the purposes of compliance with capital funding requirements or for exceptional business reasons.

   10.          Board Changes 

Following the departure of Jeremy Evans as a Director on 6 February 2021, after 13 years' service, the Company has been looking to strengthen its Board. Subject to completion of due diligence formalities and Admission, the Company is pleased to announce that Tom Libassi, co-founder and managing partner of ILS Capital Management, has agreed to become a non-executive director of the Company. Funds under management of, or associated with, ILS Capital Management are participating in the Fundraise as Subscribers, and have agreed to subscribe for, in aggregate, 13,000,000 New Ordinary Shares under the Subscription. Consequently, on completion of the Fundraising, funds under management of, or associated with, ILS Capital Management will hold, in aggregate, 13,000,000 Ordinary Shares, representing approximately 18.3 per cent. of the Enlarged Share Capital. A further announcement relating to Mr Libassi's appointment will be made in due course.

In addition, the Company will be appointing another independent non-executive director of the Company.

   11.          Recommendation 

The Directors consider that all of the Resolutions are in the best interests of the Company and its Shareholders as a whole and recommend that the Shareholders vote in favour of such Resolutions as they intend to do in respect of their own direct and beneficial shareholdings being, in aggregate, 18,817,079 Existing Ordinary Shares, representing approximately 31.71 per cent. of the Company's existing ordinary share capital.

Details of the Placing Agreement and the Placing Shares

Shore Capital has today entered into the Placing Agreement with the Company under which, on the terms and subject to the conditions set out in the Placing Agreement, Shore Capital as agent for and on behalf of the Company, has agreed to use its reasonable endeavours to procure Placees to subscribe for the Placing Shares at the Placing Price, such subscription commitments being conditional upon the conditions (summarised below) being satisfied by the Company or otherwise waived by Shore Capital. The Placing is not being underwritten by Shore Capital or any other person.

The Placing Shares will, when issued, be subject to the articles of association of the Company and credited as fully paid and will rank pari passu in all respects with the Ordinary Shares, including the right to receive all dividends and other distributions declared, made or paid in respect of such Ordinary Shares after the date of issue of the Placing Shares.

Application for admission to trading

Applications will be made to the London Stock Exchange for admission of the Placing Shares to trading on AIM.

It is expected that Admission will take place at 8.00 a.m. on or around 9 April 2021 and that dealings in the Placing Shares, the Subscription Shares and the Open Offer Shares on AIM will commence at the same time.

Principal terms of the Placing

1 Shore Capital is acting as Nominated Adviser, Broker and Bookrunner in relation to the Placing, and as agent for and on behalf of the Company. Shore Capital is authorised and regulated in the United Kingdom by the FCA and is acting exclusively for the Company and no one else in connection with the matters referred to in this Announcement and will not be responsible to anyone other than the Company for providing the protections afforded to their respective customers or for providing advice in relation to the matters described in this Announcement.

2 Participation in the Placing will only be available to persons who may lawfully be, and are, invited by Shore Capital to participate. Shore Capital and any of its respective affiliates are entitled to participate in the Placing as principals.

3 The price per Placing Share will be payable by all Placees to Shore Capital (as agent of the Company). Placees' allocation of Placing Shares will be confirmed by telephone and/or email following the close of the Book Build .

4 Each Placee's allocation of Placing Shares is determined by Shore Capital in its discretion following consultation with the Company and has been or will be confirmed orally by Shore Capital and a Form of Confirmation will be dispatched as soon as possible thereafter. That oral confirmation will give rise to an irrevocable, legally binding commitment by that person (who at that point becomes a Placee), in favour of Shore Capital and the Company, under which it agrees to acquire the number of Placing Shares allocated to the Placee at the Placing Price and otherwise on the terms and subject to the conditions set out in this Appendix and in accordance with the Company's articles of association. Except with Shore Capital's prior written consent, such commitment will not be capable of variation or revocation at the time at which it is submitted.

5 Each Placee's allocation and commitment will be evidenced by a Form of Confirmation issued to each such Placee by Shore Capital. The terms and conditions of this Appendix will be deemed incorporated in that Form of Confirmation.

6 Each Placee will have an immediate, separate, irrevocable and binding obligation, owed to Shore Capital (as agent for the Company), to pay to Shore Capital (or as Shore Capital may direct) in cleared funds an amount equal to the product of the Placing Price and the number of Placing Shares such Placee has agreed to acquire and the Company has agreed to allot and issue to that Placee.

7 Irrespective of the time at which a Placee's allocation(s) pursuant to the Placing is/are confirmed, settlement for all Placing Shares to be issued pursuant to the Placing will be required to be made at the same time, on the basis explained below under "Registration and Settlement".

8 All obligations of Shore Capital under the Placing will be subject to fulfilment of the conditions referred to below under "Conditions of the Placing" and to the Placing not being terminated on the basis referred to below under "Termination of the Placing".

9 By participating in the Placing, each Placee will agree that its rights and obligations in respect of the Placing will terminate only in the circumstances described below and will not be capable of rescission or termination by the Placee.

10 To the fullest extent permissible by law and applicable FCA rules, none of (a) Shore Capital, (b) any of its respective affiliates, agents, directors, officers, consultants, (c) to the extent not contained within (a) or (b), any person connected with Shore Capital as defined in FSMA ((b) and (c) being together "affiliates" and individually an "affiliate" of Shore Capital) or (d) any person acting on Shore Capital's behalf, shall have any liability (including to the extent permissible by law, any fiduciary duties) to Placees or to any other person whether acting on behalf of a Placee or otherwise. In particular, none of Shore Capital, or any of its affiliates shall have any liability (including, to the extent permissible by law, any fiduciary duties) in respect of their conduct of the Placing or of such alternative method of effecting the Placing as Shore Capital and the Company may agree.

Registration and Settlement

Settlement of transactions in the Placing Shares will take place inside the CREST system.

Settlement of transactions in the Placing Shares will, unless otherwise agreed, take place on a delivery versus payment basis within CREST.

The Company will procure the delivery of the Placing Shares to CREST accounts operated by Shore Capital for the Company and Shore Capital will enter their delivery (DEL) instructions into the CREST system. The input to CREST by each Placee of a matching or acceptance instruction will then allow delivery of the relevant Placing Shares to that Placee against payment.

The Company reserves the right to require settlement for and delivery of the Placing Shares (or a portion thereof) to any Placee in any form it requires if, in Shore Capital's opinion, delivery or settlement is not possible or practicable within CREST or would not be consistent with the regulatory requirements in the Placee's jurisdiction.

Following the close of the Book Build for the Placing, each Placee allocated Placing Shares in the Placing will be sent a conditional trade confirmation stating the number of Placing Shares, the Placing Price and the subscription amount payable to be allocated to it and will be required to provide Shore Capital with funds sufficient to purchase such securities prior to the Settlement Date (see below).

Each Placee is deemed to agree that, if it does not comply with these obligations, the Company may sell any or all of the Placing Shares allocated to that Placee on such Placee's behalf and retain from the proceeds, for the Company's account and benefit, an amount equal to the aggregate amount owed by the Placee plus any interest due. The relevant Placee will, however, remain liable for any shortfall below the aggregate amount owed by it and may be required to bear any stamp duty or stamp duty reserve tax (together with any interest or penalties) which may arise upon the sale of such Placing Shares on such Placee's behalf.

It is expected that settlement of the Placing Shares will take place on or about 9 April 2021. Settlement will be through Shore Capital against CREST ID: 601 (DJCLT).

Each Placee agrees that it will do all things necessary to ensure that delivery and payment is completed in accordance with the applicable registration and settlement procedures, including if applicable, CREST rules and regulations and settlement instructions that it has in place with Shore Capital (as applicable).

If the Placing Shares are to be delivered to a custodian or settlement agent, Placees should ensure that the conditional trade confirmation is copied and delivered immediately to the relevant person within that organisation.

No UK stamp duty or stamp duty reserve tax should be payable to the extent that the Placing Shares are issued into CREST to, or to the nominee of, a Placee who holds those shares beneficially (and not as agent or nominee for any other person) within the CREST system and registered in the name of such Placee or such Placee's nominee provided that the Placing Shares are not issued to a person whose business is or includes issuing depositary receipts or the provision of clearance services or to an agent or nominee for any such person.

The agreement to settle a Placee's subscription (and/or the subscription of a person for whom such Placee is contracting as agent) free of stamp duty and stamp duty reserve tax depends on the settlement relating only to a subscription by it and/or such person direct from the Company for the Placing Shares in question. Such agreement assumes that the Placing Shares are not being subscribed for in connection with arrangements to issue depositary receipts or to transfer the Placing Shares into a clearance service. If there are any such arrangements, or the settlement relates to any other subsequent dealing in the Placing Shares, UK stamp duty or stamp duty reserve tax may be payable, for which neither of the Company nor Shore Capital will be responsible, and the Placee to whom (or on behalf of whom, or in respect of the person for whom it is participating in the Placing as an agent or nominee) the allocation, allotment, issue or delivery of Placing Shares has given rise to such UK stamp duty or stamp duty reserve tax undertakes to pay such UK stamp duty or stamp duty reserve tax forthwith and to indemnify on an after-tax basis and to hold harmless the Company and Shore Capital in the event that the Company or Shore Capital has incurred any such liability to UK stamp duty or stamp duty reserve tax. If this is the case, each Placee should seek its own advice and notify Shore Capital accordingly.

In addition, Placees should note that they will be liable for any stamp duty and all other stamp, issue, securities, transfer, registration, documentary or other duties or taxes (including any interest, fines or penalties relating thereto) payable outside the UK by them or any other person on the subscription by them of any Placing Shares or the agreement by them to subscribe for any Placing Shares.

Conditions of the Placing

The Placing is conditional upon the Placing Agreement becoming unconditional and not having been terminated in accordance with its terms.

The obligations of Shore Capital under the Placing Agreement in respect of the Placing, are, and the Placing is, conditional upon, inter alia:

(a) none of the warranties or undertakings contained in the Placing Agreement being or having become untrue, inaccurate or misleading at any time before Admission, and no fact or circumstance having arisen which would constitute a breach of any of the warranties or undertakings given in the Placing Agreement or which would constitute a specified event, being an event occurring or matter arising on or after the date of the Placing Agreement and before Admission which, which, if it had occurred before the date of the Placing Agreement, would have rendered any of the warranties in the Placing Agreement untrue or incorrect;

(c) the Company allotting and issuing the Placing Shares conditional only on Admission, in accordance with the Placing Agreement; and

(d) Admission occurring by not later than 8.00 a.m. on 9 April 2021 (or such later date as the Company and Shore Capital may agree in writing, in any event being not later than 30 April 2021).

All conditions to the obligations of Shore Capital included in the Placing Agreement being together, the " conditions ".

If any of the conditions are not fulfilled or, where permitted, waived in accordance with the Placing Agreement within the stated time periods (or such later time and/or date as the Company and Shore Capital may agree) the Placing Agreement and the rights and obligations in it shall terminate at such time and each Placee agrees that no claim can be made by or on behalf of the Placee (or any person on whose behalf the Placee is acting) in respect thereof.

By participating in the Placing, each Placee agrees that its rights and obligations cease and terminate only in the circumstances described above and under " Termination of the Placing " below and will not be capable of rescission or termination by it.

Certain conditions may be waived in whole or in part by Shore Capital, in its absolute discretion by notice in writing to the Company and Shore Capital may also agree in writing with the Company to extend the time for satisfaction of any condition. Any such extension or waiver will not affect the Placees' commitments as set out in this Announcement.

Shore Capital may terminate the Placing Agreement in certain circumstances, details of which are set out below.

Neither Shore Capital nor the Company nor any of their respective affiliates, agents, directors, officers or employees shall have any liability to any Placee (or to any other person whether acting on behalf of a Placee or otherwise) in respect of any decision any of them may make as to whether or not to waive or to extend the time and/or date for the satisfaction of any condition nor for any decision any of them may make as to the satisfaction of any condition or in respect of the Placing generally, and by participating in the Placing, each Placee agrees that any such decision is within the absolute discretion of Shore Capital.

Termination of the Placing

Shore Capital may terminate the Placing Agreement, in accordance with its terms, at any time prior to Admission if, inter alia:

1 it comes to the attention of Shore Capital that any of the warranties in the Placing Agreement were not true or accurate, or were misleading when given or deemed given; or

2 it comes to the attention of Shore Capital that the Company has failed to comply with its obligations under the Placing Agreement, the Act, FSMA, the AIM Rules for Companies or other applicable law; or

3 it comes to the attention of Shore Capital that any statement contained in, inter alia, this Announcement, the investor presentation and the Circular (the "Issue Documents") has become or been discovered to be untrue, inaccurate or misleading or a new matter has arisen that constitutes a material admission from the Issue Documents;

4 trading generally on the London Stock Exchange, the New York Stock Exchange or the NASDAQ stock market has been suspended or limited, or minimum or maximum prices for trading have been fixed, or maximum ranges for prices have been required, by any of such exchanges or by such system or by order of any governmental authority, or a material disruption has occurred in commercial banking or securities settlement or clearance services in the UK or any member of the EEA, which in the opinion of Shore Capital (acting in good faith and after such consultation with the Company as the circumstances may allow) renders the Placing and/or the Open Offer and/or the Subscription and/or the Admission, temporarily or permanently, impracticable or inadvisable;

5 the Company's application to the London Stock Exchange for admission of the New Ordinary Shares to trading on AIM is withdrawn by the Company and/or refused by the London Stock Exchange (as appropriate); or

6 at any time on or before Admission there shall have occurred, happened or come into effect any material adverse change (whether or not foreseeable at the date of this agreement) in, or there shall have occurred, happened or come into effect any development (whether or not foreseeable at the date of this agreement) which is likely to lead to a prospective material adverse change in, national or international political, military (including an outbreak or escalation of hostilities), health (including further escalation of the Coivid-19 pandemic), diplomatic, economic, financial or market conditions and/or act of God and/or in the financial position or condition (financial, operational, regulatory, legal or otherwise), earnings, business, assets, management, operations, properties or performance or prospects of the Group as a whole which, in the opinion of Shore Capital (acting in good faith and after such consultation with the Company as the circumstances may allow), renders either the Placing, the Open Offer, the Subscription and/or Admission, temporarily or permanently, impracticable or inadvisable.

If the Placing Agreement is terminated prior to Admission then the Placing will not occur.

If the Placing Agreement is terminated in accordance with its terms, the rights and obligations of each Placee in respect of the Placing as described in this Announcement shall terminate at such time and no claim can be made by any Placee in respect thereof.

By participating in the Placing, each Placee agrees with the Company and Shore Capital that the exercise by the Company or Shore Capital of any right of termination or any other right or other discretion under the Placing Agreement shall be within the absolute discretion of the Company or Shore Capital and that neither the Company nor Shore Capital need make any reference to such Placee and that neither Shore Capital nor the Company, nor any of their respective affiliates, agents, directors, officers or employees shall have any liability to such Placee (or to any other person whether acting on behalf of a Placee or otherwise) whatsoever in connection with any such exercise.

By participating in the Placing, each Placee agrees that its rights and obligations terminate only in the circumstances described above and under the " Conditions of the Placing " section of this Appendix and will not be capable of rescission or termination by it after the issue by Shore Capital of a Form of Confirmation confirming each Placee's allocation and commitment in the Placing.

Representations, warranties and further terms

By participating in the Placing, each Placee (and any person acting on such Placee's behalf) represents, warrants, acknowledges and agrees (for itself and for any such prospective Placee) that (save where Shore Capital expressly agrees in writing to the contrary):

1 it has read and understood this Announcement in its entirety and that its subscription for the Placing Shares is subject to and based upon all the terms, conditions, representations, warranties, indemnities, acknowledgements, agreements and undertakings and other information contained herein and that it has not relied on, and will not rely on, any information given or any representations, warranties or statements made at any time by any person in connection with Admission, the Placing, the Company, the Placing Shares or otherwise, other than the information contained in this Announcement;

2 it has not received a prospectus or other offering document in connection with the Placing and acknowledges that no prospectus or other offering document: (a) is required under the Prospectus Regulation; and (b) has been or will be prepared in connection with the Placing;

3 the Existing Ordinary Shares are (and the Placing Shares will be) admitted to trading on AIM, and that the Company is therefore required to publish certain business and financial information in accordance with the AIM Rules for Companies, which includes a description of the nature of the Company's business and the Company's most recent balance sheet and profit and loss account and that it is able to obtain or access such information without undue difficulty, and is able to obtain access to such information or comparable information concerning any other publicly traded company, without undue difficulty;

4 it has made its own assessment of the Placing Shares and has relied on its own investigation of the business, financial and trading position of the Company in accepting a participation in the Placing;

25 no action has been or will be taken by any of the Company, Shore Capital or any person acting on their behalf that would, or is intended to, permit a public offer of the Placing Shares in the United States or in any country or jurisdiction where any such action for that purpose is required;

26 the person who it specifies for registration as holder of the Placing Shares will be: (a) the Placee; or (b) a nominee of the Placee, as the case may be. None of Shore Capital or the Company will be responsible for any liability to stamp duty or stamp duty reserve tax resulting from a failure to observe this requirement. Each Placee and any person acting on behalf of such Placee agrees to acquire Placing Shares pursuant to the Placing and agrees to pay the Company and Shore Capital in respect of the same (including any interest or penalties) on the basis that the Placing Shares will be allotted to a CREST stock account of Shore Capital or transferred to a CREST stock account of Shore Capital ) who will hold them as nominee on behalf of the Placee until settlement in accordance with its standing settlement instructions with it;

27 it is acting as principal only in respect of the Placing or, if it is acting for any other person, (a) it is duly authorised to do so and has full power to make the acknowledgments, representations and agreements herein on behalf of each such person and (b) it is and will remain liable to the Company and Shore Capital for the performance of all its obligations as a Placee in respect of the Placing (regardless of the fact that it is acting for another person);

28 the allocation, allotment, issue and delivery to it, or the person specified by it for registration as holder, of Placing Shares will not give rise to a stamp duty or stamp duty reserve tax liability under (or at a rate determined under) any of sections 67, 70, 93 or 96 of the Finance Act 1986 (depository receipts and clearance services) and that it is not participating in the Placing as nominee or agent for any person or persons to whom the allocation, allotment, issue or delivery of Placing Shares would give rise to such a liability;

Shore Capital and each of its respective affiliates, each acting as an investor for its or their own account(s), may bid or subscribe for and/or purchase Placing Shares and, in that capacity, may retain, purchase, offer to sell or otherwise deal for its or their own account(s) in the Placing Shares, any other securities of the Company or other related investments in connection with the Placing or otherwise. Accordingly, references in this Announcement to the Placing Shares being offered, subscribed, acquired or otherwise dealt with should be read as including any offer to, or subscription, acquisition or dealing by Shore Capital and/or any of its respective affiliates, acting as an investor for its or their own account(s). Neither Shore Capital nor the Company intend to disclose the extent of any such investment or transaction otherwise than in accordance with any legal or regulatory obligation to do so;

31.8. it has complied with its obligations in connection with money laundering and terrorist financing under the Proceeds of Crime Act 2002, the Terrorism Act 2000, the Terrorism Act 2006 and the Money Laundering, Terrorist Financing and Transfer of Funds (Information on the Payer) Regulations 2017 (together, the " Regulations ") and, if making payment on behalf of a third party, that satisfactory evidence has been obtained and recorded by it to verify the identity of the third party as required by the Regulations;

31.9. it is aware of the obligations regarding (i) insider dealing in the Criminal Justice Act 1993, (ii) FSMA, (iii) the EU Market Abuse Regulation No. 596 of 2014 as it forms part of UK law by virtue of the European Union (Withdrawal) Act 2018 (as amended by the European Union (Withdrawal) Act 2020) , and (iv) the Proceeds of Crime Act 2002 and confirms that it has and will continue to comply with those obligations;

31.10. in order to ensure compliance with the Money Laundering, Terrorist Financing and Transfer of Funds (Information on the Payer) Regulations 2017, Shore Capital (for itself and as agent on behalf of the Company or the Company's registrars may, in their absolute discretion, require verification of its identity. Pending the provision to Shore Capital or the Company's registrars, as applicable, of evidence of identity, definitive certificates in respect of the Placing Shares may be retained at Shore Capital's absolute discretion (as the case may be) or, where appropriate, delivery of the Placing Shares to it in uncertificated form may be delayed at Shore Capital's or the Company's registrars', as the case may be, absolute discretion. If within a reasonable time after a request for verification of identity Shore Capital (for itself and as agent on behalf of the Company) or the Company's registrars have not received evidence satisfactory to them, Shore Capital and/or the Company may, at its absolute discretion, terminate its commitment in respect of the Placing, in which event the monies payable on acceptance of allotment will, if already paid, be returned without interest to the account of the drawee's bank from which they were originally debited;

31.11. it acknowledges that its commitment to acquire Placing Shares on the terms set out in this Announcement and in the Form of Confirmation will continue notwithstanding any amendment that may in future be made to the terms and conditions of the Placing and that Placees will have no right to be consulted or require that their consent be obtained with respect to the Company's or Shore Capital's conduct of the Placing;

31.12. it has knowledge and experience in financial, business and international investment matters as is required to evaluate the merits and risks of subscribing for the Placing Shares. It further acknowledges that it is experienced in investing in securities of this nature and is aware that it may be required to bear, and is able to bear, the economic risk of, and is able to sustain, a complete loss in connection with the Placing. It has relied upon its own examination and due diligence of the Company and its affiliates taken as a whole, and the terms of the Placing, including the merits and risks involved;

31.13. it irrevocably appoints any duly authorised officer of Shore Capital as its agent for the purpose of executing and delivering to the Company and/or its registrars any documents on its behalf necessary to enable it to be registered as the holder of any of the Placing Shares for which it agrees to subscribe upon the terms of this Announcement;

31.14. the Company, Shore Capital and others (including each of their respective affiliates, agents, directors, officers or employees) will rely upon the truth and accuracy of the foregoing representations, warranties, acknowledgements and agreements, which are given to Shore Capital, on its own behalf and on behalf of the Company and are irrevocable;

31.15. if it is acquiring the Placing Shares as a fiduciary or agent for one or more investor accounts, it has full power and authority to make, and does make, the foregoing representations, warranties, acknowledgements, agreements and undertakings on behalf of each such account;

   31.16.       time is of the essence as regards its obligations under this Appendix; 

31.17. any document that is to be sent to it in connection with the Placing will be sent at its risk and may be sent to it at any address provided by it to Shore Capital;

31.18. the Placing Shares will be issued subject to these terms and conditions of this Appendix; and

31.19. these terms and conditions and all documents into which they are incorporated by reference or otherwise validly forms a part and/or any agreements entered into pursuant to these terms and conditions and all agreements to acquire shares pursuant to the Placing will be governed by and construed in accordance with English law and it submits to the exclusive jurisdiction of the English courts in relation to any claim, dispute or matter arising out of any such contract, except that enforcement proceedings in respect of the obligation to make payment for the Placing Shares (together with any interest chargeable thereon) may be taken by the Company or Shore Capital in any jurisdiction in which the relevant Placee is incorporated or in which any of its securities have a quotation on a recognised stock exchange.

32 by participating in the Placing, each Placee (and any person acting on such Placee's behalf) agrees to indemnify and hold the Company, Shore Capital and each of their respective affiliates, agents, directors, officers and employees harmless from any and all costs, claims, liabilities and expenses (including legal fees and expenses) arising out of or in connection with any breach of the representations, warranties, acknowledgements, agreements and undertakings given by the Placee (and any person acting on such Placee's behalf) in this this Appendix or incurred by Shore Capital, the Company or each of their respective affiliates, agents, directors, officers or employees arising from the performance of the Placee's obligations as set out in this Announcement, and further agrees that the provisions of this this Appendix shall remain in full force and effect after completion of the Placing. The agreement to allot and issue Placing Shares to Placees (or the persons for whom Placees are contracting as agent) free of stamp duty and stamp duty reserve tax in the United Kingdom relates only to their allotment and issue to Placees, or such persons as they nominate as their agents, direct by the Company. Such agreement assumes that the Placing Shares are not being acquired in connection with arrangements to issue depositary receipts or to transfer the Placing Shares into a clearance service. If there are any such arrangements, or the settlement related to any other dealings in the Placing Shares, stamp duty or stamp duty reserve tax may be payable. In that event, the Placee agrees that it shall be responsible for such stamp duty or stamp duty reserve tax and none of the Company or Shore Capital shall be responsible for such stamp duty or stamp duty reserve tax. If this is the case, each Placee should seek its own advice and should notify Shore Capital accordingly. In addition, Placees should note that they will be liable for any capital duty, stamp duty and all other stamp, issue, securities, transfer, registration, documentary or other duties or taxes (including any interest, fines or penalties relating thereto) payable outside the United Kingdom by them or any other person on the acquisition by them of any Placing Shares or the agreement by them to acquire any Placing Shares and each Placee, or the Placee's nominee, in respect of whom (or in respect of the person for whom it is participating in the Placing as an agent or nominee) the allocation, allotment, issue or delivery of Placing Shares has given rise to such non-United Kingdom stamp, registration, documentary, transfer or similar taxes or duties undertakes to pay such taxes and duties, including any interest and penalties (if applicable), forthwith and to indemnify on an after-tax basis and to hold harmless the Company and Shore Capital in the event that the Company and/or Shore Capital has incurred any such liability to such taxes or duties;

33 the representations, warranties, acknowledgements and undertakings contained in this this Appendix are given to Shore Capital for itself and on behalf of the Company and are irrevocable;

34 each Placee and any person acting on behalf of the Placee acknowledges that Shore Capital do not owe any fiduciary or other duties to any Placee in respect of any representations, warranties, undertakings, acknowledgements, agreements or indemnities in the Placing Agreement;

35 each Placee and any person acting on behalf of the Placee acknowledges and agrees that Shore Capital may (at its absolute discretion) satisfy its obligation to procure Placees by itself agreeing to become a Placee in respect of some or all of the Placing Shares or by nominating any connected or associated person to do so;

36 when a Placee or any person acting on behalf of the Placee is dealing with Shore Capital, any money held in an account with Shore Capital on behalf of the Placee and/or any person acting on behalf of the Placee will not be treated as client money within the meaning of the relevant rules and regulations of the FCA made under FSMA. Each Placee acknowledges that the money will not be subject to the protections conferred by the client money rules: as a consequence this money will not be segregated from Shore Capital's money (as applicable) in accordance with the client money rules and will be held by it under a banking relationship and not as trustee;
