Result of Placing and PrimaryBid Offer

Harland & Wolff Group Holdings plc (AIM: HARL), the UK quoted company focused on strategic infrastructure projects and physical asset lifecycle management, announces that, further to its announcements made yesterday regarding the Fundraising, it has completed the bookbuild for the Placing and closed the PrimaryBid Offer.

The Company is pleased to announce that the Placing has raised GBP7.3 million (before expenses) through the placing of 36,522,261 Placing Shares with certain existing and new institutional investors at the Issue Price, through its broker Cenkos Securities plc. Furthermore, the PrimaryBid Offer has conditionally raised an additional GBP0.9 million (before expenses), through the subscription of 4,675,230 PrimaryBid Shares at the Issue Price.

Accordingly, the Company has conditionally raised a total of GBP8.2 million (before expenses) and approximately GBP7.7 million net of expenses, to facilitate the growth of the business, more detail of which is set out in yesterday's announcement and the explanatory Circular, which is expected to be posted to shareholders on 24 November 2021 and will be published on the Company's website.

Issue of Equity and General Meeting

Application has been made for the First Placing Shares, being 19,403,667 New Shares to be admitted to trading on AIM on 26 November 2021. Following First Admission, the Company's issued share capital will be 141,094,016.

Application will be made for the Second Placing Shares, being 17,118,594 New Shares and the PrimaryBid Shares, being 4,675,230 New Shares to be admitted to trading on AIM on 13 December 2021. Following Second Admission, the Company's issued share capital will be 162,887,840. Second Admission remains subject to the passing of the Resolutions by Shareholders at the Company's General Meeting to be held on 10 December 2021.

The above figures may be used by Shareholders following First Admission and Second Admission respectively as the denominator for the calculations by which they will determine whether they are required to notify their interest in, or a change to their interest in, the share capital of Company under the Disclosure Guidance and Transparency Rules sourcebook of the FCA.
