PDMR Dealing/Transfer of shares held in Treasury

Hargreaves Services plc announces that on 13 March 2018, Iain Cockburn, Finance Director, Brockwell Energy Limited, exercised options over 76,515 ordinary shares in Hargreaves Services plc at a price of nil pence per share. These options were granted under the Company's: (i) 2008 Performance Share Plan (20,287 shares); (ii) 2009 Performance Share Plan (28,500 shares); (iii) 2011 Performance Share Plan (7,086 shares); and (iv) 2014 Deferred Share Bonus Scheme (20,642 shares). These shares were immediately sold at GBP3.40 per ordinary share.

76,515 shares are to be transferred from treasury to satisfy the exercise of the above options. Following those transfers, 1,069,904 ordinary shares remain in treasury and the total number of voting rights in the Company are 32,068,852. This latter figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in the Company, under the Disclosure and Transparency Rules.
